Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Using a UAE holding company for Nigerian investments: tax facts

Dividends from a Nigerian company to a UAE holding company: Nigeria's 10% withholding, why no treaty rate applies, and the UAE participation exemption.

The short answer

Dividends paid by a Nigerian company to a UAE holding company suffer Nigerian withholding tax at 10%, and no reduced treaty rate applies because the UAE is not on the FIRS list of tax treaties in force. In the UAE, the dividend can be exempt under the participation exemption if the holding company owns at least 5% (or paid over AED 4 million), has held it or intends to hold it for 12 months, and the Nigerian company is subject to tax at a statutory rate of at least 9%.

Nigerian founders and investors in the UAE often ask whether to hold Nigerian shares personally or through a UAE company. The answer depends on facts that differ for each person, so this guide does not recommend a structure. It sets out the tax rules on both sides, with sources, so you can have a precise conversation with an adviser.

The Nigerian side: withholding tax on dividends

PwC's Nigeria withholding tax page (reviewed 29 May 2026) gives 10% on dividends for resident and non-resident companies and individuals. Its treaty table lists reduced rates for countries such as the UK, Canada, China, South Africa and Singapore. The UAE is not among them. FIRS Information Circular 2022/15 lists 16 treaties in force, and the UAE is not on that list either. Our guide on whether there is a Nigeria-UAE double tax treaty in force tracks the status, and the Nigeria library explains withholding tax for non-resident companies.

The UAE side: the participation exemption

PwC's UAE income determination page (reviewed 9 September 2026) sets the conditions for exempting foreign dividends and gains:

  • Ownership of at least 5%, or an acquisition cost above AED 4 million.
  • Held for 12 months without interruption, or intended to be.
  • The participation is subject to tax in its country of residence at a statutory rate not lower than 9%, or at an effective rate of at least 9% if there is no such statutory rate.
  • No more than 50% of the participation's assets are interests that would not themselves qualify.

Nigeria's company income tax rate is 30% according to PwC's Nigeria pages (reviewed 29 May 2026), which is above 9%. But small companies under the 2025 tax laws (turnover below ₦100 million and fixed assets below ₦250 million, per WTS Blackwoodstone in January 2026) pay 0%. Whether a 0%-taxed small Nigerian company passes the subject-to-tax test is a question to put to a UAE adviser before relying on the exemption. Dividends from UAE resident companies are exempt automatically. A free zone holding company can also treat holding shares for investment as a qualifying activity if it meets the free zone conditions.

Worked example

Illustrative figures only. A Lagos company, 100% owned by a Dubai holding company for three years, declares a dividend of ₦10,000,000.

StepAmount
Dividend declared₦10,000,000
Nigerian WHT at 10%₦1,000,000
Cash to UAE holding company₦9,000,000
UAE corporate tax if participation exemption metNil on the dividend
UAE corporate tax if not met (taxable income above AED 375,000)9% on the dividend as part of taxable income

Check: 10% of ₦10,000,000 is ₦1,000,000, leaving ₦9,000,000.

What changes compared with holding shares personally

Nigerian withholding on the dividend is 10% either way, since PwC's table gives the same rate for companies and individuals. The differences sit elsewhere: the UAE company has its own registration, return, audit and licence costs every year; the participation exemption has to be tested each time; and money inside the company is not yet yours personally. Against that, a company can pool several Nigerian investments, reinvest without paying out, and be sold as one unit. Which matters more depends on your plans, not on a general rule.

Questions to take to an adviser

  1. Does each Nigerian investee pass the 9% subject-to-tax test, including any small company taxed at 0%?
  2. Will the holding company meet the 12-month holding condition for every investment?
  3. Is the holding company better as a free zone or mainland company, given its other income?
  4. How will the UAE company prove its own tax residence if a Nigerian payer or bank asks?
  5. What does a later sale of the Nigerian shares cost in Nigerian tax, and is the gain exempt in the UAE?

Getting the money out of Nigeria

To repatriate dividends in foreign currency, the original investment should have come in through an authorised dealer bank with a Certificate of Capital Importation. A 2024 Mondaq guide notes the CCI supports repatriation of dividends and profits net of tax, with tax clearance. Investors who funded shares in naira without a CCI may find dollar repatriation harder. Setting up the Nigerian company is covered in registering a Nigerian subsidiary of a UAE company.

Where Pryme fits

A holding company that receives naira dividends needs somewhere to hold them. A Pryme Business Account, opened from the UAE, holds naira, with deposits at a licensed Nigerian microfinance bank, alongside USD, GBP and EUR; you convert with Swap when you decide, seeing the rate and fee first. Entities covers running holding and operating companies together.

Questions people ask

What is the withholding tax on dividends from Nigeria to the UAE?

10%, Nigeria's domestic rate. No treaty rate applies because the UAE is not on the FIRS list of treaties in force.

Are Nigerian dividends taxed in the UAE?

They can be exempt under the participation exemption if the 5% (or AED 4 million), 12-month and 9% subject-to-tax tests are met; otherwise they form part of taxable income.

Is there a Nigeria-UAE tax treaty?

The UAE is not among the 16 treaties FIRS listed as in force in Circular 2022/15, and PwC's 2026 treaty table does not list it.

Do I need a CCI to send dividends abroad from Nigeria?

A CCI for the original investment supports repatriation of dividends through an authorised dealer bank, net of tax.
