Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

SRL semplificata: opening an Italian company with little capital

How the SRL semplificata works: €1 to €9,999 capital in cash, individuals only, a fixed statute and no notary fees, plus the limits to weigh.

The short answer

An SRL semplificata is an Italian limited company that individuals, including foreign and non-resident ones, can form with capital from €1 to €9,999, paid in cash in full. It uses a fixed standard statute that cannot be changed, and the standard deed carries no notary fees, stamp duty or secretarial charges. Only individuals can be partners, and accountancy, chamber of commerce fees and tax still apply.

What the SRL semplificata is

The SRL semplificata (SRLS) is a form of Italian limited company created by the 2012 ‘Liberalizzazioni’ decree-law of 24 January 2012 and set out in article 2463-bis of the Civil Code. It was designed so that people with little money could still trade through a company with limited liability. It is the same legal type as an ordinary SRL, with a separate legal personality and the partners' liability limited to their contributions, but it comes with a fixed set of rules that make it cheaper to form and harder to tailor.

According to iubenda's guide (updated July 2022), anyone of legal age can form one, alone or with others, and foreign and non-resident partners are allowed. A Nigerian living in Italy, or a group of Nigerian friends, can therefore form an SRLS together. A partner who lives in Italy lawfully enjoys the same civil rights as an Italian citizen under article 2(2) of the Testo unico on immigration (Legislative Decree 286/1998); for others, see the reciprocity points in starting an SRL as a non-EU citizen.

The rules in one place

RuleWhat it means in practice
Partners must be individualsNo company, trust or association can hold shares. A Nigerian company cannot own an SRLS
Capital between €1 and €9,999You decide the amount within that range
Cash contributions onlyNo contribution of equipment, a vehicle or services in exchange for shares
Capital paid in full to the administrative bodyThe directors receive the money and give a receipt; it is not a deposit you get back
Standard statute that cannot be changedNo custom clauses on transfer of shares, partner exits, deadlock or special voting
No notary fees for the standard deedThe deed is also exempt from stamp duty and secretarial charges

A worked example

Example only. Chidi and Amaka live in Turin and want to run a small catering business together. They form an SRLS with capital of €2,000, each paying €1,000 in cash to the directors at incorporation. Each owns 50%. If the business runs up debts it cannot pay, creditors can claim against the company's assets, including the €2,000, but not, in the ordinary course, against the partners' personal savings.

Two points the example shows. First, €2,000 of capital is not a cushion against much. Suppliers, landlords and banks will look at the company's capital and may ask for a personal guarantee from Chidi and Amaka, which brings personal liability back for that debt. Second, because the statute is fixed, Chidi and Amaka cannot write in what happens if one wants to leave. They should agree that in a separate written partners' agreement, with an accountant or lawyer.

Limits to weigh before choosing it

  • Growth: if you later want an investor company to buy shares, or need tailored clauses, you will need to move to an ordinary SRL. Ask the notary how and at what cost when you form the SRLS.
  • Credibility: a very low capital is legal, but some counterparties treat it as a sign of risk. Choose an amount that matches what you will actually need in the first months.
  • Same running costs as an SRL: accounts, VAT and tax filings, an accountant and the annual Camera di Commercio fee apply as for any company. See registering with the Camera di Commercio.
  • Directors: check who can be a director under the standard statute with the notary before you sign.

SRLS, ordinary SRL or sole trader?

The SRLS sits between the two other common choices. A sole trader (ditta individuale) is cheaper to open and run but carries unlimited personal liability. An ordinary SRL costs more to form (iubenda quotes its own ordinary SRL package at €1,799 including VAT plus about €700 in taxes, as one example) but allows company partners, contributions in kind and custom clauses; with capital of €10,000 or more, only 25% must be paid in at incorporation. Our comparison ditta individuale or SRL sets out how tax and liability differ.

What to check first

  1. Are all partners individuals, and will they stay that way?
  2. Can you live with the standard statute, plus a separate partners' agreement?
  3. Have you asked at least two notaries about availability and any charges outside the exemption?
  4. Have you budgeted for an accountant from the first month?
  5. Which bank will open an account for the new company? See opening a business account for a new SRL.

Where Pryme fits

A small SRLS that buys from or sells to Nigeria can keep naira and euros apart with a Pryme Business Account, opened from Italy, with the rate and fee shown before any conversion. The account does not replace the Italian bank account the company needs for its Italian obligations. Naira deposits are held by a licensed Nigerian microfinance bank; outside Nigeria, Pryme works through regulated partners.

Questions people ask

What is the minimum capital for an SRL semplificata?

€1. The capital must be between €1 and €9,999, paid in cash in full to the company's administrative body.

Can a foreigner open an SRL semplificata in Italy?

Yes. Foreign and non-resident individuals can be partners. Only individuals can be partners, so a Nigerian company cannot hold shares.

Is the SRL semplificata free?

The standard deed carries no notary fees, stamp duty or secretarial charges, but accountancy, Camera di Commercio fees and taxes still apply.

Can I change the statute of an SRL semplificata?

No. It uses a fixed standard model. If you need custom clauses, consider an ordinary SRL or a separate partners' agreement.
