Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

QEF election for a Nigerian fund: is it available?

A QEF election needs a PFIC Annual Information Statement from the fund. Most Nigerian funds do not advertise one; what to ask and the alternatives.

The short answer

Only if the fund gives you a PFIC Annual Information Statement showing your share of its ordinary earnings and net capital gain, or enough information to calculate it. We found no Nigerian fund manager's public documents offering one, so ask the manager in writing; without the statement, the alternatives are a mark-to-market election where the units qualify, the default section 1291 regime, or holding the assets another way.

If you are a US taxpayer holding a Nigerian mutual fund, money market fund or dollar fund, you may already have been told it is probably a passive foreign investment company (PFIC). The usual way to soften PFIC tax is the qualified electing fund (QEF) election. Whether you can use it depends almost entirely on the fund manager in Lagos, not on you.

What a QEF election does

Under a QEF election you are taxed each year on your share of the fund's earnings, whether or not the fund pays them out. The IRS instructions for Form 8621 say the PFIC must give shareholders a PFIC Annual Information Statement with the shareholder's pro rata share of the PFIC's ordinary earnings and net capital gain for the year, or enough information for the shareholder to calculate it. You report those amounts on Form 8621 each year.

The trade-off is timing against rate. You pay tax before you see cash, but you avoid the default regime in which gains and large distributions are taxed at top ordinary rates with an interest charge.

Rate on gainsOrdinary, spread back over holding period with interestYour share of net capital gain keeps its character
Needs from fundNothingPFIC Annual Information Statement every year
PaperworkForm 8621 per fundForm 8621 per fund, Part II box A plus Part III

Will a Nigerian fund give you the statement?

Nigerian funds are built for Nigerian investors and Nigerian tax rules. Factsheets such as ARM's Eurobond Fund factsheet and Stanbic IBTC's Dollar Fund page give holdings, fees and yields, but neither mentions US tax reporting or a PFIC statement. We found no Nigerian manager publishing one. That does not mean none will ever provide it, but you should assume it is not available until a manager confirms otherwise in writing.

What to ask the fund manager

  1. Do you prepare a PFIC Annual Information Statement for US shareholders, as described in US Treasury Regulations section 1.1295-1(g)?
  2. If not, will you provide audited financial statements and a breakdown of ordinary earnings and net capital gain per unit for each fund year, so my adviser can calculate my share?
  3. What is the fund's financial year end, and when are audited accounts published?
  4. Will you commit to providing this every year I hold units?

Timing: make it in the first year

The Form 8621 instructions say a QEF election is generally made by the due date, including extensions, of your return for the first tax year it is to apply. Late or retroactive elections are allowed only under a protective statement regime or with IRS consent. The consent route requires, among other things, that you reasonably relied on a competent tax professional and that you ask before the IRS raises the PFIC issue on audit. If you have held the fund for years without an election, an adviser may discuss a deemed sale election, which the instructions describe as an election under section 1291(d)(2)(A), to start a QEF cleanly, at the cost of tax on the gain so far.

If QEF is not available

  • Mark-to-market: possible if the units are marketable stock, which Treasury rules extend to some NAV-redeemable foreign funds meeting conditions such as more than 100 shareholders and a minimum initial investment of no more than $10,000. See mark-to-market for Nigerian funds.
  • Default regime: accept section 1291 treatment, file Form 8621, and plan for the cost at sale.
  • Hold assets directly: FGN bonds, T-bills or Eurobonds owned in your name are taxed as ordinary interest in the US, not under PFIC rules. See buying FGN bonds from the US.
  • Use a US-registered fund for similar exposure.

Worked example (illustrative)

A fund with QEF statements reports your share for the year as $400 of ordinary earnings and $150 of net capital gain on a $10,000 holding, and pays you nothing. You report $550 that year and your basis rises; when you later sell, tax is on the gain above that higher basis. Without QEF, nothing is taxed until a large distribution or sale, then the whole gain is spread back with interest.

Information, not tax advice. PFIC elections are hard to unwind; work with a preparer who files Form 8621 regularly. Background: why Nigerian dollar funds can be PFICs.

Where Pryme fits

Pryme does not sell funds abroad and cannot advise on PFIC elections. If you move to holding Nigerian assets directly, a Pryme account holds NGN and USD side by side, and you Swap only when you choose.

Questions people ask

Do Nigerian mutual funds provide PFIC annual information statements?

We found none that publish one. Ask the manager in writing; without the statement, a QEF election is not possible.

When do I have to make a QEF election?

Generally by the due date, including extensions, of your return for the first year the election applies, per the Form 8621 instructions.

Can I make a late QEF election for my Nigerian fund?

Only under the protective statement regime or with IRS consent, which has conditions including reliance on a competent tax professional.

What is the alternative to QEF for a Nigerian fund?

Mark-to-market if the units are marketable stock, the default section 1291 regime, or holding the bonds or bills directly.
