Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Public offer vs private placement: the difference

A public offer is open to anyone, with a full prospectus; a private placement goes to selected investors with less disclosure. Who can invest, and risks.

The short answer

A public offer invites the general public to buy shares or bonds, so it is registered with the SEC and comes with a prospectus that sets out the issuer's finances, risks and terms. A private placement is sold to a limited group of selected, usually experienced, investors, with lighter disclosure and often no exchange listing. If a stranger offers you a "private placement" with fixed returns, treat it as a warning sign.

Two ways for a company to raise money

When a Nigerian company, bank or government body wants to raise money from investors by selling shares or bonds, it can go to the public or go to a chosen few. The legal labels for these routes are a public offer (including an initial public offering, or IPO, and rights issues offered to all existing shareholders) and a private placement. The difference decides who may invest, how much the investor is told, and how easy it is to sell later.

Public offerPrivate placement
Who can investThe general public, subject to the minimum subscriptionA limited, selected group, usually institutions or experienced investors
DisclosureFull prospectus registered with the SECAn information memorandum or private offer document; lighter than a prospectus
MarketingAdvertised openly, often through receiving agents and banksNot advertised to the general public
ListingUsually listed on an exchange afterwardsOften unlisted, or listed later
Ease of sellingCan be sold on the exchange if listedMay be hard to sell; few buyers
Typical investor riskDisclosed in detail; market price can still fallHigher information risk; relies on investor's own checks

The detailed SEC rules on prospectus content, offer periods and who counts as a qualifying private investor are set out in the SEC's rules and the investment and securities law. Check them on the SEC website before relying on any specific threshold; this article does not quote thresholds from memory.

How a public offer works

In a public offer, the issuer appoints an issuing house to manage the process. Issuing houses are among the functions the SEC lists in its Find a Registered Operator directory, so you can check the firm named in the offer document. The offer is open for a set period, applications go in through stockbrokers, banks or approved receiving agents, and allotment is announced after the offer closes.

A useful real example is the Domestic FGN US Dollar Bond. The Debt Management Office's FAQs (August 2024) set out who could apply (resident Nigerians, Nigerians in the diaspora, and foreign and institutional investors), the minimum (US$10,000, then multiples of US$1,000), how to pay (electronic transfer only, no cash) and that the bond would be listed on NGX and FMDQ so investors could trade it. That level of published detail is what a public offer gives you. Our guide to Nigeria's dollar bond and Eurobonds covers it further.

What to read in a prospectus

  • Use of proceeds: what the money is for.
  • Financial summary: several years of revenue, profit and debt.
  • Risk factors: the issuer's own list of what could go wrong.
  • Offer terms: price, minimum application, opening and closing dates, and how refunds work if you are allotted fewer units than you applied for.
  • Parties: issuing house, registrar, receiving banks, auditors and their registration.

Our step-by-step guide on how to apply for an IPO or public offer covers the application itself.

How a private placement works

In a private placement, the issuer and its advisers approach a short list of investors directly: pension funds, asset managers, insurers, wealthy individuals, or strategic partners. Because those investors are expected to do their own analysis and can absorb losses, the offer document is lighter, there is no public advertising, and the securities may not trade on any exchange.

Private placements are a normal tool. Listed banks and companies use them to bring in a strategic shareholder, and private companies use them to raise growth capital. But they are not designed for ordinary savers, and an investor who buys in may have no easy way out.

When "private placement" is a red flag

Fraudsters borrow the term because it sounds exclusive. Be wary when:

  1. The offer reaches you through WhatsApp, Instagram or a cold call from someone you do not know.
  2. It promises a fixed monthly return on shares, which no share can promise.
  3. The firm cannot show an SEC registration you can check yourself on the SEC's Find a Registered Operator page.
  4. You are asked to pay into a personal account rather than a company or receiving-bank account.
  5. There is pressure to decide today.

The SEC website also keeps a Known Investment Scams list. Our guide on Ponzi and investment scams in Nigeria explains common patterns.

Which suits an ordinary investor

For most individuals, public offers and shares already listed on the exchange are the accessible route: the information is published, the terms are the same for everyone, and listed securities can be sold. Private placements suit investors who can read a deal document, verify the issuer independently, take professional advice and wait years for an exit. This is general information, not advice on any particular offer.

Where Pryme fits

When you pay for an offer, pay only to the receiving bank or broker account named in the offer document, and keep proof. A verifiable receipt through VerifyDoc.ai lets you show exactly what you paid and when.

Questions people ask

Can an individual invest in a private placement in Nigeria?

Private placements are offered to selected investors, usually institutions or experienced individuals. Check the SEC's current rules on who qualifies before taking part in any.

Is a private placement safe?

It can be legitimate, but disclosure is lighter and the securities may be hard to sell. Verify the issuer and adviser on the SEC's registered operator directory and read the documents carefully.

What is the difference between an IPO and a public offer?

An IPO is a company's first public offer of shares. Later public offers and rights issues are also public offers but are not initial.

How do I know a public offer is genuine?

A genuine public offer has a prospectus, named issuing house, registrar and receiving banks. Check the issuing house on the SEC's Find a Registered Operator page and pay only into the accounts named in the document.
