Ten years, one trunk

The business has changed shape four times and never changed what it was rooted in. Each version was built out of what the last one could not do.

2016E-commerce

2018OjirehPrime Card

2020Microfinance bank

2023Multicurrency

More than one currency on one balance, and the rebrand to Pryme. A Nigerian business could hold dollars without holding a second institution.

2026Agentic operations

Accounts that do the work rather than only hold value. Five agents on the account, inside a policy you write — which is where the new mark starts.

Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Ghana

Can I stay a director of my Nigerian company from Ghana?

Living in Accra does not end a CAC directorship. What CAMA 2020 lets you do remotely, what must stay in Nigeria, and the filings you still own.

The short answer

Yes. Nothing in the CAMA 2020 provisions we reviewed requires a director of a Nigerian company to live in Nigeria, and the Act allows electronic signatures and, where the articles permit, virtual general meetings. What cannot move is the company's base: its register of members may not be kept outside Nigeria, and you remain responsible for CAC annual returns and filings from Ghana.

Moving to Ghana does not end the directorship

A directorship ends when you resign, are removed, or are disqualified, not when you change country. Many Nigerians who relocate to Accra keep running a Lagos or Abuja company: a consultancy, a property company, a family business. The question is how to do it lawfully and without the company falling behind with the Corporate Affairs Commission (CAC).

What CAMA 2020 lets you do from abroad

  • Sign electronically. Section 101 of the Companies and Allied Matters Act 2020 provides that an electronic signature satisfies the signing requirement for documents a company must authenticate, as summarised by Udo Udoma & Belo-Osagie.
  • Hold general meetings online. Section 240(2) originally allowed virtual general meetings for private companies where the articles permit. Tunde & Adisa note that the Business Facilitation (Miscellaneous Provisions) Act 2022 extended this to public companies. The 21-day notice for an AGM still applies.
  • Skip the AGM, in some cases. Section 237 exempts single-member and small companies from holding an AGM, per UUBO.
  • Run with one director. Section 271 allows a small company to have a single director, and section 330 lets small companies operate without a secretary. If you are the sole director in Accra, the company can still function.

Board meetings are less clear. The CAMA summaries we read do not set out a rule on virtual board meetings; check your articles, and if they are silent consider amending them so board decisions taken by video or by written resolution are beyond doubt.

What must stay in Nigeria

  • The register of members. Section 110 says the register is kept at the registered office or another permitted office and that a company "may not keep the register outside Nigeria". Do not move the statutory books to Accra.
  • The registered office. The company needs a Nigerian registered address where notices and inspections can reach it.
  • Persons with significant control records. The PSC Regulations 2022 require disclosure at incorporation, with annual returns and on change, as PwC summarises; your own details stay on that record even from Ghana.

The filings that follow you to Accra

CAC annual returns remain your responsibility. Kalepron Attorneys summarise the rule: a company starts filing 18 months after incorporation (section 417), and files within 42 days after its AGM (section 421). A company that does not file can show as Inactive on the CAC public search, according to Legit.ng, and a company that has not filed for ten years can be struck off under section 425(3). Filing is online, which is why it can be done from Ghana; see how to file CAC annual returns from Ghana.

If you are stepping back rather than staying on, a change of directors is a separate CAC filing; see changing CAC directors from Ghana. If the company will stop trading while you are away, read keeping a CAC company dormant.

Tax: information, not advice

Directing a Nigerian company while living in Ghana raises tax questions on both sides. The FIRS circular of May 2022 lists Nigeria's 16 double tax treaties in force, and Ghana is not among them, so there is no Nigeria-Ghana treaty to settle where director's fees or salary are taxed; see the treaty position. Where you take decisions from Accra can also matter to where the company itself is managed. Take advice from a tax adviser who works in both countries.

Example: a sole director in Accra

Example: Bisi is sole director and 100% shareholder of a Lagos interior design company that qualifies as a small company. She moves to Accra for a two-year contract. Her company keeps its registered office and register of members at her accountant's office in Ikeja. She approves decisions by electronically signed written resolution, skips the AGM under section 237, and files annual returns on the CAC portal each year with her accountant's help. The company stays Active on the CAC search throughout.

What to check first

  1. Read your articles: do they allow electronic meetings and written resolutions?
  2. Confirm where the registered office and register of members are kept in Nigeria.
  3. Diary the annual return date and who will prepare the accounts.
  4. Check the company's status on the CAC public search before you leave.
  5. Take tax advice on both sides before you start taking director's fees in Ghana.

Where Pryme fits

A Pryme Business Account can be opened and run from any country, with the Chief of Staff and Compliance agents preparing filings and reminders that you approve from Accra.

Questions people ask

Can a director of a Nigerian company live abroad?

Yes. The CAMA 2020 provisions we reviewed do not require directors to live in Nigeria, but the register of members must stay in Nigeria.

Can I sign CAC resolutions from Ghana?

CAMA 2020 section 101 recognises electronic signatures for documents the company must authenticate. Check your articles and CAC's current filing requirements.

Do I need to hold an AGM if I am abroad?

Single-member and small companies are exempt from holding an AGM under section 237. Others may hold it virtually if the articles allow.

What happens if my Nigerian company stops filing annual returns while I am in Ghana?

It can show as Inactive on the CAC search, and after ten years of non-filing can be struck off.
