Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

How do I change a director on CAC from Ghana?

Adding or removing a director of a Nigerian company while you live in Ghana: the resolution, consent, CAC notice, signatures and what to check first.

The short answer

A director change for a Nigerian company is a post-incorporation filing with the Corporate Affairs Commission: the company passes the resolution its articles require, the new director consents, and the company files notice of the change with CAC with the fee and any late penalty. CAC's procedures name Form CAC 7A for change of directors; most filings now start on the CAC online portal, which you can use from Ghana, but documents signed abroad may need notarising.

What a director change involves

Under the Companies and Allied Matters Act 2020 (CAMA), a Nigerian company keeps its own register of directors, including their residential addresses (section 320, as summarised by PwC Nigeria), and must tell CAC when directors change. The change itself happens inside the company, by a decision of the board or the members as the articles say. The CAC filing makes it public. Until CAC's record is updated, banks, regulators and counterparties will treat the old list as correct.

Living in Ghana does not change any of this. The company is still Nigerian, its registered office is still in Nigeria, and CAC is still the registry. What changes is the logistics: who signs, how, and how you prove the signatures are genuine.

The documents, in order

  1. Check the articles of association. They say who may appoint or remove a director, how many directors the company must have, and how a meeting or written resolution works.
  2. The resolution. A board or members' resolution appointing the new director, or accepting a resignation or removing a director. Removal by members against a director's will has its own CAMA procedure; take advice if it is contested.
  3. The new director's consent to act, with their identification, residential address and other details CAC asks for.
  4. A resignation letter if a director is leaving voluntarily.
  5. The notice of change filed with CAC. CAC's procedures document names Form CAC 7A for change of directors and says post-registration services must be prepaid, with the fee and any late penalty.
  6. Update the company's own registers, including the register of directors' residential addresses.

Doing it from Ghana

Filing online

An online portal works from Accra as well as Lagos. If you are a director or the company secretary with access to the company's CAC account, you can usually start the filing yourself. Otherwise an accredited agent or the company secretary in Nigeria can file for the company, using the documents you sign in Ghana.

Signing

If the portal accepts electronic signatures for the form and the resolution, you may not need paper at all. Where a wet signature on paper is needed, sign in Ghana before a notary public (the Embassy of Mexico in Ghana describes Ghana's notaries as part of the Judicial Service, with the Ministry of Foreign Affairs' Legal and Consular Bureau certifying after them), and ask the receiving party whether it also wants the notarised document authenticated. Nigeria is not an Apostille Convention party, so the route for a Ghanaian notarised document is authentication by Ghana's Ministry of Foreign Affairs and legalisation by the Nigeria High Commission in Accra; see notarising a document in Ghana for Nigeria.

A new director who lives in Ghana

Nothing in the sources we read bars a non-resident director. The new director will need identification CAC accepts and a residential address for the company's register, which may be in Ghana. If the new director is not Nigerian, check whether the company's business needs any extra approvals.

What else may need updating

  • Persons with significant control. If the director change goes with a change of shareholding or control, the PSC record must be updated too. See PSC disclosure rules.
  • The company's bank mandate. Banks will ask for the updated CAC record and a board resolution before changing signatories.
  • Annual returns. The next return should show the current directors; see filing CAC annual returns from Ghana.
  • Tax and regulatory records where the company is registered with sector regulators.

A worked timeline (example only)

Example: a Lagos company with two directors, one in Accra, appoints a third director who lives in Ghana. The board signs a written resolution, scanned and emailed. The new director signs a consent. The company's agent in Lagos files the change on the portal and pays the fee. If any paper document needs a wet signature, the Accra director signs it before a notary and couriers it. Allow time for CAC to process the filing, then give the bank the updated record.

What to check first

  • Are the company's annual returns up to date? Outstanding returns can complicate or delay other filings, so clear them first.
  • Does the CAC record match the company's own registers today?
  • Do you have the login for the company's portal account, or an agent who does?
  • Is any director or shareholder likely to object? If so, get Nigerian legal advice before filing.

Where Pryme fits

A Pryme Business Account includes a Compliance agent that prepares reminders and paperwork for filings like this; a person approves, and actions are recorded. It does not file with CAC for you.

Questions people ask

Can I change a company director on CAC online from Ghana?

In most cases yes, through the CAC online portal, either yourself with access to the company account or through an accredited agent. Check the current route and fee on the portal.

What form is used for change of directors at CAC?

CAC's procedures document names Form CAC 7A for change of directors, filed with the fee and any late penalty. Check the portal for the current version.

Can a director of a Nigerian company live in Ghana?

We found nothing in the sources we read that bars a non-resident director. The company records the director's residential address in its register.

Do I need to notarise documents signed in Ghana for CAC?

Only if a wet-signed paper document is required and the receiver asks for it. Nigeria is not an Apostille party, so a notarised Ghanaian document is authenticated by Ghana's MFA and legalised by the Nigeria High Commission.
