Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Personal services business risk with one Nigerian client

A company with one Nigerian client can be taxed as a personal services business. What the Income Tax Act says, what it costs and how to reduce the risk.

The short answer

If your corporation provides services to one client and you would reasonably be regarded as that client's employee but for the corporation, the income can be a personal services business under s.125(7) of the Income Tax Act. That income gets neither the small business deduction nor the general rate reduction, and s.123.5 adds a further 5%, which works out at a 33% federal rate before provincial tax. The test turns on the real working relationship, not on how many clients you have, though one client makes it harder to pass.

What the law says

Section 125(7) of the Income Tax Act defines a personal services business as a business of providing services where an individual who performs the services for the corporation (the "incorporated employee"), or a person related to them, is a specified shareholder, and the incorporated employee "would reasonably be regarded as an officer or employee" of the client "but for the existence of the corporation". There are two exceptions: the corporation employs more than five full-time employees in the business throughout the year, or the payment comes from a corporation associated with yours.

Nothing in the definition mentions the client's country. A Lagos fintech, an Abuja consultancy or a Toronto bank can all be the client in a personal services business. What matters is whether, without your company in the middle, you would look like their employee.

What it costs

  • No small business deduction. The low rate applies to active business income; personal services business income is outside it (s.125).
  • No general rate reduction. Section 123.4 excludes personal services business income from "full rate taxable income", so the 13% general reduction does not apply.
  • An extra 5%. Section 123.5 adds 5% of taxable income from a personal services business.
  • Restricted expenses. The definition is tied to s.18(1)(p), which limits what the corporation can deduct against this income.

The CRA explains that the 38% basic federal rate falls to 28% after the federal abatement. Add the 5% and personal services business income is taxed federally at 33%, before provincial tax. In Ontario the higher provincial rate is 11.5%, making 44.5%.

Worked example (example figures, Ontario, after 1 July 2026)

$100,000 profit from one clientSmall business ratePersonal services business
Federal9% = $9,00033% = $33,000
Ontario2.2% = $2,20011.5% = $11,500
Total corporate tax$11,200$44,500

The difference of $33,300 on $100,000 is why accountants ask about this before you incorporate. Personal tax on dividends still applies when you take the money out.

How "would be an employee" is judged

The CRA's guide RC4110 sets out how it decides whether someone is an employee or self-employed outside Quebec: first the intention of the parties, then the factors of control, tools and equipment, subcontracting or hiring helpers, financial risk, investment and management, and the opportunity for profit. Applied to a single Nigerian client, warning signs include:

  • You work set hours that the client decides and report to a manager there.
  • You use the client's laptop, email address and systems, and appear on its staff page.
  • You are paid a fixed monthly amount regardless of output, with paid leave.
  • You cannot send someone else to do the work or hire help.
  • You have no other clients and no marketing, and the engagement has run for years.

What a review might look at

If the CRA examines whether your corporation carries on a personal services business, expect questions about how the work is done day to day, not just what the contract says. Have ready:

  • The contract or statement of work, and any purchase orders or change requests.
  • Invoices from your corporation, showing milestones or deliverables rather than a flat monthly salary.
  • Evidence of your own tools and costs: software licences, equipment, insurance, a business phone.
  • Correspondence showing you decide how and when the work is done.
  • Proof of other clients, proposals you have sent and marketing you pay for.
  • Any subcontractors or helpers your corporation has paid.

Relationships with Nigerian companies are often informal, built on WhatsApp messages and verbal agreements. That makes paperwork more important, not less: a short written scope for each piece of work goes a long way.

Reducing the risk

  1. Write the contract as a contract for services: deliverables, your own tools, your right to substitute or subcontract, invoices per milestone.
  2. Make it true in practice. The CRA looks at how the relationship works, not just the paper.
  3. Build other clients where you can, and keep evidence of business activity: a website, proposals, other invoices.
  4. If you in fact work as an employee, consider whether being paid as one, or as a sole proprietor, is cleaner than a corporation.
  5. Ask an accountant to review before your first T2, not after a CRA review.

See employee or contractor for a Nigerian firm and when incorporating pays for the wider decision.

Where Pryme fits

Clear records of separate clients, invoices and payments help show a real business. A Pryme Business Account keeps each client's payments in its own currency, and invoicing keeps a dated trail of milestones billed and paid.

Questions people ask

What is a personal services business in Canada?

Under s.125(7) of the Income Tax Act, it is a corporation providing services where the person doing the work would reasonably be regarded as the client's employee but for the corporation, unless it has more than five full-time employees.

What tax rate applies to a personal services business?

Federally 33% (the 28% rate after abatement plus the 5% in s.123.5), plus the provincial higher rate, which is 11.5% in Ontario.

Does having only one client make my company a PSB?

Not automatically. The test is whether you would be the client's employee without the corporation. One client makes that more likely but the working relationship decides it.

Does it matter that my client is in Nigeria?

No. The definition does not depend on where the client is based.
