Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Keeping an ISC register with a shareholder in Nigeria

What a federal corporation must record about a Nigeria-based owner with 25% or more, what Corporations Canada publishes and the 15-day deadlines.

The short answer

If a shareholder living in Nigeria holds 25% or more of a federal corporation's voting shares or share value, or has significant influence, they are an individual with significant control. The ISC register must show their name, date of birth, address, the countries where they are tax resident (here, Nigeria), the dates control began and ended, and how they have control. Changes are recorded within 15 days and filed with Corporations Canada within 15 days of recording.

Who counts as an individual with significant control

Corporations Canada defines an individual with significant control (ISC) as someone who:

  • owns, controls or directs 25% or more of the voting shares, or 25% or more of all shares measured by fair market value; or
  • has significant influence over the corporation without owning shares; or
  • meets the threshold together with others under an agreement, such as an agreement to vote their shares the same way. Each person in that group is then an ISC.

The register is about individuals. If a Nigerian company holds the shares, you look through it to the people behind it. If your aunt in Abuja owns 30% through a Nigerian holding company she controls, she is the ISC, not the holding company.

What the register must show

FieldExample for a Lagos-based shareholderMade public by Corporations Canada?
Full nameAs on her passportYes
Date of birthFrom her passportNo
AddressResidential address in Lagos, or an address for serviceAddress for service if given; residential address only if no address for service
Country or countries of tax residenceNigeriaNo
Date she became an ISC (and date she ceased)Date shares were issued or acquiredYes
Description of how she has controlRegistered holder of 30% of the voting common sharesYes
Country or countries of citizenshipNigeria (and any other)No (filed, not published)

Sources: Corporations Canada's ISC pages, including "File your information" (modified March 2026). Information about an ISC under 18 is not published until they turn 18. Law enforcement and FINTRAC can see ISC information whether or not it is public.

The deadlines

  1. At least once a year, the corporation takes reasonable steps to check for changes and new ISCs.
  2. Within 15 days of becoming aware of a change, it records the change in the register.
  3. Within 15 days of recording it, a federal corporation files the change with Corporations Canada.
  4. Every year it files ISC information with its annual return ($12 online).
  5. At incorporation, the ISC information is filed with the incorporation; after an amalgamation or continuance, within 30 days.

Filing is through Corporations Canada's Online Filing Centre, using "View/change information on individuals with significant control" for changes. Very few corporations are exempt, and even exempt ones must file to confirm the exemption.

Practical issues with a shareholder abroad

  • Getting the details. Ask for a passport copy and proof of address when the shares are issued. Chasing a shareholder in Port Harcourt for a date of birth months later is how deadlines are missed.
  • Tax residence. Record what the shareholder tells you, and ask them to tell you if it changes, for example if they move to the UK.
  • Changes in Nigeria. A new address, a new passport name after marriage, or a transfer of shares to a family member are all changes to record.
  • Who can see the register. The full register is not public. On request, the corporation must show it to shareholders and creditors (who provide an affidavit limiting its use), investigative bodies and Corporations Canada.
  • Banks. Corporations Canada notes that banks may ask who controls the corporation, and the register can be shown as proof.

Worked example

Example: Kemi and Tunde incorporate a federal corporation in Mississauga with 1,000 voting common shares, 600 for Kemi in Canada and 400 for Tunde, who lives in Ibadan. Both hold 25% or more, so both are ISCs. The register records Tunde's name, date of birth, his Ibadan address (the corporation gives its Mississauga office as his address for service), Nigeria as his country of tax residence, the issue date and "registered holder of 40% of the voting common shares".

Two years later Tunde transfers 250 shares to his sister in Abuja. He now holds 150 shares (15%) and she holds 250 (25%). Within 15 days of learning of the transfer, the corporation records that Tunde ceased to be an ISC on the transfer date and that his sister became one; within 15 days of recording it, it files both changes with Corporations Canada. If the two siblings had also signed an agreement to vote together, their combined 40% would keep both of them on the register.

Provincial companies and Nigerian companies

This guide covers federal (CBCA) corporations. Provincial corporations follow their own province's law; check your registry's requirements. If the same shareholder also controls a Nigerian company, the CAC has its own regime: see persons with significant control in Nigeria. Keep the two records consistent, because banks on both sides compare them. For how adding a Nigerian shareholder can affect tax, read issuing shares to a co-founder in Nigeria.

Where Pryme fits

The Compliance agent in a Pryme Business Account can prepare a checklist of changes to record and remind you of the 15-day deadlines; a person approves anything filed. Verifiable statements from our partner VerifyDoc.ai help when a bank asks for proof behind the register.

Questions people ask

Does a shareholder in Nigeria have to be on the ISC register?

Yes, if they hold 25% or more of the votes or share value, have significant influence, or meet the threshold together with others under an agreement. Where they live does not change the test.

Is my Nigerian shareholder's home address made public?

Not if the corporation files an address for service. Corporations Canada publishes the residential address only when no address for service is provided.

How quickly must ISC changes be filed?

Record the change within 15 days of becoming aware of it, then file it with Corporations Canada within 15 days of recording it.

Is date of birth published?

No. Date of birth, citizenship and tax residence are filed but not made public.
