Ten years, one trunk

The business has changed shape four times and never changed what it was rooted in. Each version was built out of what the last one could not do.

2016E-commerce

An online grocery store, built out of a faulty tab. Selling the food was the easy part — taking the money for it, and moving it, turned out to be the business.

2018OjirehPrime Card

A prepaid card. The first time the company issued rather than resold, and the first time it carried the obligations that come with holding somebody else’s money.

2020Microfinance bank

PrymeSolid Allianze acquired — an existing bank with an existing licence. The perimeter stopped being someone else’s to draw.

2023Multicurrency

More than one currency on one balance, and the rebrand to Pryme. A Nigerian business could hold dollars without holding a second institution.

2026Agentic operations

Accounts that do the work rather than only hold value. Five agents on the account, inside a policy you write — which is where the new mark starts.

Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Dual citizen shareholder: Nigerian or foreign for CAC?

A dual citizen is still Nigerian under the Constitution, but CAC records the nationality you declare. What that changes for NIPC, permits and small status.

The short answer

A Nigerian who also holds another citizenship remains a Nigerian citizen, so nothing in the law makes their shares foreign. In practice CAC records the nationality and ID each shareholder declares, and NIPC, the Ministry of Interior and banks work from that record. Subscribe as a Nigerian with Nigerian ID and the company has no foreign participation; subscribe on a foreign passport and it will likely be treated as having a foreign shareholder.

Many Nigerians in the UK, US and Canada hold a second passport, and some no longer have a valid Nigerian one. When they register a company, the question of which nationality to declare looks like a box-ticking choice. It is not: it decides whether the company needs NIPC registration, a business permit, a second director and a company secretary. We found no CAC or NIPC page that addresses dual citizens directly, so this guide works from the rules that do exist.

You are still Nigerian

Section 25(1)(c) of the 1999 Constitution makes every person born outside Nigeria either of whose parents is a Nigerian citizen a citizen by birth. Holding a second passport is not, in any of the rules cited here, a reason to stop being Nigerian; giving up Nigerian citizenship is a formal step of its own (see renouncing Nigerian citizenship). So a British-Nigerian or American-Nigerian holding shares is, in law, a Nigerian holding shares.

What the agencies actually look at

Agency or ruleWhat triggers foreign treatmentEffect on a dual citizen
NIPC (NIPC Act s.20)Foreign participation in the enterpriseDepends on how your shareholding is recorded
Ministry of Interior business permitJoint venture or wholly foreign-owned companySame
CAMA s.394 small companyAny member who is an alienA Nigerian citizen is not an alien; the record still matters
NRBVN (per Access Bank)Foreign investors excluded; Nigerians abroad and by descent eligibleYou can use the NRBVN as a Nigerian

None of these is decided by where you live. All of them are applied, day to day, from the documents on file: the nationality shown in your CAC particulars and the ID you uploaded.

Your two options, and what follows from each

Declare as Nigerian

  • Use Nigerian identity: a Nigerian passport (even if you also hold another), or your NIN.
  • The company has no foreign participation from your shares, so no NIPC registration or business permit on that account.
  • The company can be small under section 394 if it meets the size tests, so one director and no secretary may be enough.
  • Your bank will treat you as a Nigerian signatory, using your BVN or NRBVN.

Declare as a foreign national

  • You use your foreign passport as ID.
  • The register shows a foreign shareholder, so expect NIPC registration and a business permit; see NIPC registration and business permits.
  • The company is not small: two directors and a secretary.
  • Capital you bring in through a bank can be documented with a Certificate of Capital Importation, which NIPC lists among the papers for foreign investors and which supports later repatriation.

Some founders choose the foreign route deliberately because they want the investor protections and capital importation paperwork that come with it. That is a legitimate choice, but make it on purpose and keep it consistent.

A worked example (illustrative)

Example only: Chidi was born in Manchester to Nigerian parents and holds only a British passport. He and his Lagos-based cousin form a company, 60% to Chidi and 40% to the cousin. If Chidi subscribes on his British passport, the register shows a foreign shareholder holding 60%. The company then needs NIPC registration, a business permit with its capital floor, two directors and a secretary. If Chidi first gets a Nigerian passport or NIN and subscribes as a Nigerian, the company is wholly Nigerian-owned on the record, and if turnover and net assets are within the section 394 limits, it is a small company with lighter obligations. The business is the same; the paperwork is very different.

Consistency matters more than the choice

Problems arise when records disagree: a CAC filing showing British nationality, a bank file with an NRBVN as a Nigerian, and an NIPC record that does not exist. Each agency may then ask why. Before you file, decide one position and make sure:

  1. The CAC particulars (nationality, name order, date of birth) match the ID you will use.
  2. The bank sees the same nationality and ID.
  3. If foreign, NIPC registration and the business permit follow.
  4. Any later change of status, for example renewing a Nigerian passport after subscribing on a foreign one, is updated on CAC as a change of particulars.

If your Nigerian citizenship itself is in question, for example you were born abroad and never had a Nigerian passport, see proving citizenship through one Nigerian parent.

Where Pryme fits

Pryme Business Accounts can be opened from any country, and Pryme can hold separate accounts for each entity you run; see entities and business multicurrency.

Questions people ask

Is a dual citizen a foreign shareholder in Nigeria?

Not in law: a Nigerian citizen remains Nigerian. In practice CAC records the nationality and ID you declare, and agencies work from that.

Can I register a Nigerian company with my British passport?

You can, but the company will likely be treated as having a foreign shareholder, with NIPC registration, a business permit and no small company status.

Does a dual citizen shareholder need NIPC registration?

Only if the shareholding is recorded as foreign. Shares held as a Nigerian citizen do not create foreign participation.

Can I switch my nationality on CAC later?

You can file a change of particulars, but the knock-on effects on NIPC, permits and directors follow the new record. Plan it before filing.
