Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

United States

Delaware or your home state: where should a Nigerian form an LLC?

Delaware charges every LLC $400 a year and you may still have to register in the state where you work. When Delaware earns its cost, and when it does not.

The short answer

If you live and trade in one US state, forming the LLC in that state is usually cheaper, because a Delaware LLC that does business elsewhere normally has to register in your home state as well and pay both. Delaware charges every LLC a $400 annual tax due by 1 June (Delaware Division of Corporations, August 2026); it earns that cost mainly when you plan to raise investment, have co-owners in several states, or want Delaware law to govern the company.

The question behind the question

Many Nigerians in Houston, Atlanta or Baltimore hear that "serious companies are Delaware companies" and form there by default. The real question is simpler: where will the business actually operate, and who will own it? An LLC is created under one state's law, but it must also register in every state where it "does business", a step usually called foreign qualification. If your shop, clients, staff and office are all in Texas, a Delaware LLC still has to qualify in Texas. You end up with two sets of fees, two sets of filings and two registered agents.

So the starting presumption for a one-state business is the home state. Delaware has to justify itself.

What Delaware costs, from its own pages

The Delaware Division of Corporations publishes the ongoing charges. As at its pages published on 1 August 2026:

ItemDelaware LLCDelaware corporation
Annual charge$400 flat annual tax, not proratedFranchise tax: minimum $175 (authorised shares method) or $400 (assumed par value capital method), up to $200,000
Due dateOn or before 1 June for the prior yearOn or before 1 March
Annual reportNone required$50 annual report fee (non-exempt domestic corporation)
Late payment$200 penalty plus 1.5% interest a month on tax and penalty$200 penalty plus 1.5% interest a month

The formation filing fee itself is in Delaware's separate corporate fee schedule (August 2026 PDF), which we could not open; check it before you file. You also need a registered agent with a Delaware address, which most out-of-state owners buy from a commercial agent for a yearly fee. Our guide to registered agents explains what they do.

The foreign-qualification catch

Registering an out-of-state LLC in your home state is not free. Each state sets its own fee; Wyoming, for comparison, charges $150 to register a foreign LLC (fee schedule effective 1 July 2026). Your home state then expects its own annual or periodic report and may levy its own franchise or privilege tax, exactly as if you had formed there. The Delaware charges sit on top.

Example only: Ada, a nurse in Houston, sets up a home-care staffing LLC that will only serve Texas clients. Formed in Texas, she pays Texas formation and ongoing state charges. Formed in Delaware, she pays Delaware's $400 every year, a Delaware registered agent, Texas's foreign registration fee and the same ongoing Texas obligations. Over five years the Delaware route costs her at least $2,000 in Delaware tax alone (5 × $400) for no practical gain, because her contracts, staff and disputes are all in Texas. See forming an LLC in Texas for the home-state steps.

When Delaware is worth it

  • You plan to raise venture capital. Investors and their lawyers commonly expect a Delaware C corporation, not an LLC. If that is your path, read C corps for raising money before forming anything.
  • Owners and operations are spread out. Co-founders in Maryland, Lagos and London with no single home base may prefer one neutral state of formation, accepting that they will qualify wherever they actually operate.
  • You want a well-known body of company law. Delaware's statutes and court decisions are widely used in US commercial agreements, which some partners and investors find reassuring.
  • You live outside the US. A founder in Lagos with no US home state is not choosing between Delaware and home; the comparison is between Delaware, Wyoming and other states with low running costs. See Wyoming LLCs.

When your home state wins

  • All revenue, staff and premises are in one state.
  • You need local licences (health, food, childcare, trucking) that are issued by your home state anyway.
  • You are a sole owner without outside investors.
  • You want one registered agent, one annual report and one state tax account.

Local banks, landlords and licensing offices also tend to find a home-state LLC simpler to deal with, because the certificate of good standing comes from the same state they work in.

What to check first

  1. Write down where you will have an office, staff, stock or regular in-person clients. That is where you will be "doing business".
  2. Check your home state's fee for forming an LLC and for registering a foreign one, and its annual report rules (our Texas and Georgia annual report guide covers two common states).
  3. Decide whether you will raise equity investment in the next two years. If yes, the question is really LLC or C corporation.
  4. Add Delaware's $400 a year and a registered agent to the cost of the Delaware option.
  5. Remember that changing state later is possible but involves filings in both states, so choose deliberately now.

Questions people ask

Is a Delaware LLC better for a Nigerian immigrant?

Not by default. If you live and trade in one state, a Delaware LLC usually has to register there too, so you pay both states. Delaware is worth it mainly for investor-backed companies or owners with no single home state.

How much does a Delaware LLC cost each year?

Delaware charges a flat $400 annual tax for every LLC, due by 1 June, with a $200 penalty plus 1.5% monthly interest if late (Division of Corporations, August 2026). There is no annual report. A registered agent costs extra.

Do I need to register my Delaware LLC in my home state?

If the LLC does business in your home state, for example an office, staff or regular local clients, that state will normally require foreign registration and its own annual filings. Check your secretary of state's rules.

Can I move my LLC from Delaware to my state later?

Many states allow an LLC to convert or domesticate from another state, but it means filings and fees in both places. It is cheaper to choose the right state at the start.
