Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

United States

Registered agent for a US LLC: do you need one?

Why every US LLC needs a registered agent, who can act as one in Texas or Georgia, what changing agents involves and what to weigh on cost.

The short answer

Yes. SBA says an LLC needs a registered agent before it files with the state, and every state lists one on the LLC's record. In Texas the agent can be an organisation or a Texas-resident individual with a Texas address, so a founder living in Texas can act as their own agent; an owner who lives in Nigeria needs a commercial agent or someone in the state. Agents' prices are set by each provider.

The registered agent is the person or company the state records as the place to deliver legal papers and official notices for your LLC. If someone sues the business, or the state sends a compliance notice, it goes to the agent. Get this wrong and you can miss a lawsuit or a dissolution warning without knowing it.

Who must have one

SBA's guide to business structures says an LLC must have a registered agent before it files in the state where it registers. The same applies to partnerships that register with a state. A sole proprietorship does not need one, because it is not a separate entity filed with the state. Corporations also appoint one.

If you register the same LLC in a second state, you need an agent there too. Texas's Form 304, for registering an out-of-state LLC, asks for a registered agent, either an organisation or a Texas-resident individual, with a Texas address.

Can you be your own agent?

Your situationOwn agent?Things to weigh
You live in the state and have a street address thereUsually yesYour home address appears on the public record; you must be there to receive papers
You live in another US stateNo, for that stateUse a commercial agent or a trusted person in the state
You live in NigeriaNoA commercial agent is the usual answer
You move away or travel for monthsRiskyChange agent before you go

Georgia's annual registration records the registered office and agent each year, under O.C.G.A. 14-11-1103, which is a natural time to check the details are still right.

Using a commercial agent

Commercial registered agents receive papers at their office and forward them to you, usually by email scan. Prices and services vary by provider; compare on:

  • the yearly fee and what it includes;
  • how fast they scan and forward documents, and whether they alert you by email and text;
  • whether they also send reminders for annual reports;
  • whether the fee rises after the first year;
  • how easy it is to leave, including whether they file the resignation properly.

A commercial agent also keeps your home address off the public record, which many owners value.

When papers arrive

  1. Open and read the document the day it arrives; court papers carry short response deadlines.
  2. Note who sent it, what it asks for and the deadline.
  3. If it is a lawsuit or a demand, contact a lawyer in that state promptly.
  4. If it is a state compliance notice, deal with the filing it mentions and keep proof.
  5. File the document with the LLC's records, not in a personal inbox.

Common mistakes

  • Naming a friend or relative as agent, who then moves house or stops opening post.
  • Using a home address, then moving without filing a change.
  • Letting a commercial agent's subscription lapse after the first year, so papers have nowhere to go.
  • Leaving for Nigeria for several months while acting as your own agent.
  • Ignoring forwarded emails from the agent because they look like marketing.

Changing agent

In Texas, the Secretary of State's forms directory lists the documents involved:

Form 401
Change of registered agent and/or registered office (filed by the LLC)
Form 401-A
Consent of registered agent to appointment
Form 402
Statement of resignation of registered agent
Form 408
Statement of change of address by a registered agent
Form 428
Rejection of appointment

The directory links to a separate fee schedule; check the current fee there before filing. File the change before the old agent resigns, so there is no gap.

Your agent and your privacy

The agent's name and address go on the state's public record with your LLC, and states such as Georgia ask you to confirm them each year in the annual registration. If you act as your own agent from home, anyone who searches the state register can see that address. Some owners are comfortable with that; others, especially those who run the business from a family home or have had trouble with former tenants or business partners, prefer a commercial agent's office address. Think about it before your first filing, because changing later means another form and possibly another fee.

Steps for a new LLC

  1. Decide whether you or a commercial agent will serve, using the table above.
  2. If using a provider, sign up and get their exact registered office address.
  3. Put the agent's name and address in your formation filing (in Texas, Form 205 for an LLC).
  4. Keep the agent informed of your own email and phone number.
  5. Check the agent details every year when you file your annual report.

See forming an LLC in Texas, forming an LLC in Georgia and annual report deadlines.

Where Pryme fits

Notices that arrive through your agent often have deadlines. The Compliance agent in a Pryme Business Account can log each one and prepare reminders for the named person to approve, alongside the business's multicurrency account.

Questions people ask

Does every LLC need a registered agent?

Yes. SBA says an LLC needs one before it files with the state.

Can I be my own registered agent?

If you live in the state with a street address there, usually yes. In Texas the agent must be an organisation or a Texas-resident individual with a Texas address.

Do I need a registered agent if I live in Nigeria?

Yes, and you cannot serve yourself from Nigeria. Use a commercial agent or a trusted person in the state.

How do I change my registered agent in Texas?

File Form 401 with the Texas Secretary of State; check the current fee in its fee schedule.
