Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

CAC annual returns from the US: how to file

CAC annual returns are filed online, so the US is no barrier. Deadlines by entity type, late penalties in CAC's 2025 fee schedule, and the steps.

The short answer

CAC annual returns are filed online, so they can be done from the US. Under CAMA 2020, as PwC summarises it, a business name files by 30 June each year and a company within 42 days after its AGM; CAC's May 2025 fee schedule sets a daily default penalty for late filing, ₦100 a day for a business name, on top of a one-off penalty.

A Nigerian business registered and then left alone is a common diaspora story. The bank account works, the shop trades, and no one files the annual return. Years later the founder needs a status report for a loan or a sale and finds penalties stacked up. Filing is an online task that takes far less time than fixing the backlog.

Who files, and when

EntityDeadlineSource
Business nameBy 30 June each year, with financial statements; not in the year of registrationCAMA 2020 s.822 as summarised by PwC and Kalepron
Private or public companyWithin 42 days after the AGM; first return due 18 months after incorporationCAMA 2020 ss.417–421 as summarised by Kalepron
LLP or LPWithin 60 days after the financial year endPwC summary of CAMA 2020
Incorporated trusteesBi-annual returns, by 15 January and 15 JulyPwC summary of CAMA 2020

PwC notes that single-shareholder companies are treated differently under the AGM framing; if yours is one, check how the deadline applies. Kalepron's summary adds a sharper risk: a company that does not file for ten years can be struck off the register under s.425(3).

What it costs to be late

CAC's New Schedule of Fees (gazette of 29 May 2025) sets penalties for late annual returns. Reading the schedule, the daily default amounts are:

EntityDaily defaultNotes
Business name₦100Plus a one-off penalty of ₦5,000
Small company₦100Plus a one-off penalty
Private company other than small₦200Plus a one-off penalty
Public company₦500Plus a one-off penalty
Incorporated trustees₦200Plus a one-off penalty

Worked example only: a business name that missed one 30 June deadline and files 200 days late pays the ₦5,000 one-off plus 200 × ₦100 = ₦20,000 in daily default, ₦25,000 in penalties, on top of the filing fee. Penalties for several missed years add up per year.

Filing from the US, step by step

  1. Sign in to the CAC portal with the account used for registration, or the one linked to the business. If that account belongs to an agent, ask them to file or to transfer access.
  2. Find the entity and choose annual returns for the year due.
  3. Enter the figures. For a business name, PwC's summary says financial statements go with the return. For a company, the return follows the AGM and carries its accounts.
  4. Review any penalty the portal adds for late years.
  5. Pay the invoice the portal generates, and save the receipt.
  6. Download the filed return and keep it with your business records.

If years are missing

File the oldest year first; each year is a separate return. Gather bank statements for each year, because the figures need a source. If the company held no AGM, ask a Nigerian company secretary or accredited agent how to regularise that before filing.

For Nigeria-side detail, including how a status report is obtained once you are up to date, see CAC annual returns: deadlines, penalties and how to file.

Using an agent or a relative

If someone in Nigeria handles the filing, give them the figures and keep the portal login yourself. Ask for the CAC invoice and the filed return, not only a confirmation message, and check the business on CAC's public search afterwards. A relative helping with paperwork should not need your bank PIN or BVN to file a return.

Why it matters from the US

An up-to-date record is often what a third party checks. A Nigerian bank reviewing the business account, a buyer, a lender or a partner may look at the CAC record. If you ever need to show a US bank or accountant that the Nigerian business exists and is in good standing, a filing history with no gaps makes that simpler. Years of missed returns do the opposite, and as the penalty table shows, the cost of catching up grows the longer it waits.

Keeping it on time

  • Put 30 June (business names) or the date 42 days after your AGM (companies) in your calendar with a reminder a month ahead.
  • Keep the CAC portal login in your own name, not only an agent's.
  • Keep yearly statements from the business bank account in one folder.

Where Pryme fits

A Pryme Business Account comes with a Compliance agent and a Finance agent, which prepare work such as filing calendars and statements for a person to approve. Statements come from one place; see business accounts.

Questions people ask

Can I file CAC annual returns online from America?

Yes. The return is filed on the CAC portal and paid through the invoice it generates.

What is the penalty for late CAC annual returns?

CAC's May 2025 schedule sets a daily default of ₦100 for business names and small companies, ₦200 for other private companies and ₦500 for public companies, plus a one-off penalty. The portal calculates the total.

When are CAC annual returns due for a business name?

By 30 June each year, except in the year of registration, under CAMA 2020 as PwC and Kalepron summarise it.

What happens if a company never files annual returns?

Penalties build each year, and under s.425(3) of CAMA 2020, as Kalepron summarises it, ten years of non-filing can lead to strike-off.
