Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

United Arab Emirates

Filing CAC annual returns from the UAE

CAC annual returns are filed online, so you can file from Dubai. The deadlines, the fees, the late penalties and a worked example of what lateness costs.

The short answer

CAC annual returns are filed online on the CAC portal (icrp.cac.gov.ng), so a director or agent can file them from the UAE. Under CAC's fee schedule published 29 May 2025 the filing fee is ₦5,000 for a company with share capital up to ₦100 million, and late filing adds a one-off penalty (₦1,000 for a small company, ₦2,000 for other private companies) plus a daily default fee of ₦100 or ₦200; years of non-filing can lead to the company being struck off.

A Nigerian company does not stop owing CAC filings because its owners live in Dubai. Unfiled returns are the most common reason a company shows as 'inactive' on CAC's public search, which then shows up when a bank, client or visa officer checks it. Filing is done online, so distance is not an excuse. This guide sets out who files, when, how much it costs and how to do it from the UAE.

Who files and when

Companies
Within 42 days after the AGM (CAMA ss.417-421, as summarised by PwC and Kalepron Attorneys).
First filing
Starts 18 months after incorporation (s.417, per Kalepron).
Small and single-member companies
Need not hold an AGM; they still file an annual return each year.
Business names
By 30 June each year, except the year of registration (s.822).
Long-term default
Ten years of non-filing can lead to strike-off (s.425(3), per Kalepron).

Fees and penalties

From CAC's New Schedule of Fees (Gazette No. 92 Vol. 112, published 29 May 2025):

Annual return filing fee (companies with share capital)Fee
Share capital ₦100,000 to ₦100 million₦5,000
Above ₦100 million to ₦500 million₦100,000
Above ₦500 million to ₦1 billion₦150,000
Above ₦1 billion₦200,000
Late filingSmall companyPrivate companyPublic companyBusiness name
One-off penalty₦1,000₦2,000Check schedule₦5,000
Daily default fee₦100₦200₦500₦100

Companies limited by guarantee pay ₦10,000 per annual return and business names ₦5,000. Fees can change; the portal shows the amount before you pay.

How to file from the UAE

  1. Log in to the CAC portal at icrp.cac.gov.ng with the company's account, or ask your accredited agent to file.
  2. Choose annual returns, select the year, and check the pre-filled company details: directors, shareholders, PSCs and registered office.
  3. Upload the financial statements the return needs. Companies generally attach audited accounts; check whether your company qualifies for any audit exemption before filing.
  4. Declare any changes in shareholding or PSCs since the last return.
  5. Pay the fee and any penalty online by card or transfer.
  6. Download the acknowledgment, then check the status on CAC's free public search a few days later.

Foreign-issued cards may be declined on Nigerian payment gateways. Have a naira card or account ready, or let your agent pay and reimburse them.

Catching up on several missed years

Founders who left Nigeria years ago often find two, three or more returns outstanding. Each year is a separate return with its own fee and its own late penalty, so file every missing year in order rather than only the latest. Before you start, pull the company's record on the public search and gather the financial statements for each year. If the company has been struck off, it cannot simply file; it has to apply to be restored first, and CAC's schedule prices relisting at ₦25,000 for a small company and ₦50,000 for a private company.

Mistakes that cause rejections

  • Shareholder or director details that do not match earlier filings.
  • Financial statements for the wrong year or unsigned statements.
  • PSC information missing or inconsistent with the share register.
  • Paying the fee but not completing the submission step.

Checking where you stand

CAC's public search at search.cac.gov.ng is free and needs no account, according to a September 2026 Legit.ng guide. Search by name or RC number. 'Inactive' usually means returns are outstanding; 'struck off' means the company is not in good standing and must be restored before it can trade. The Nigeria library explains annual return deadlines and penalties in more depth, and our guide to running a CAC company from the UAE covers the other filings.

Where Pryme fits

CAC fees are paid in naira, which is easier with naira you already hold. A Pryme Business Account, opened from the UAE, keeps naira alongside USD, GBP and EUR; you convert with Swap when needed, with the rate and fee shown first. The Chief of Staff agent keeps the filing calendar and prepares reminders for a director to approve.

Questions people ask

Can I file CAC annual returns from outside Nigeria?

Yes. Filing is online on icrp.cac.gov.ng, by a director or an accredited agent.

How much is the CAC annual return fee in 2026?

₦5,000 for a company with share capital up to ₦100 million, ₦10,000 for a company limited by guarantee, and ₦5,000 for a business name, under the schedule published 29 May 2025.

What is the penalty for late CAC annual returns?

A one-off penalty (₦1,000 small company, ₦2,000 private company, ₦5,000 business name) plus a daily default fee (₦100 small, ₦200 private, ₦500 public, ₦100 business name).

Will CAC strike off my company for not filing?

Long-term non-filing can lead to strike-off; Kalepron cites ten years under s.425(3) CAMA.
