Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Buying shares in a Nigerian startup with a UK holding company

Many Nigerian startups sit under a UK or Delaware parent. What you actually own, the papers to read, and how dividends, exits and tax work from the UK.

The short answer

When a Nigerian startup has a UK holding company, you normally buy shares in the UK parent, which in turn owns the Nigerian operating company. Your rights come from the parent's articles and shareholders' agreement, your shareholding appears in UK company filings, and returns depend on money moving up from Nigeria through regulated channels with a Certificate of Capital Importation.

Founders often "flip" a Lagos business so that a UK or US company sits on top and the Nigerian company becomes its subsidiary. Investors abroad find it easier to buy into, and later rounds are easier to run. If a founder offers you shares, the first thing to settle is which company you are investing in, because everything else follows from that. This article covers the UK parent case; a Delaware parent works on similar lines but under US company law, which we do not cover here.

What you are buying

LayerWhat it isWhat you should see
UK holding companyThe company that issues your sharesCompanies House number, articles of association, cap table
Nigerian operating companyThe CAC-registered company that trades and employs staffCAC records showing the UK company as shareholder
Intellectual property and contractsBrand, code, customer contractsWhich company owns them, in writing

If the parent does not own all, or nearly all, of the Nigerian company, find out who owns the rest. A minority held by founders directly can mean the value you are paying for sits partly outside the company you are investing in.

Documents to read before you pay

  • Articles and shareholders' agreement. Share classes, pre-emption rights, drag-along and tag-along, and what happens in a later round.
  • Subscription agreement. The price, number of shares and any warranties from founders.
  • Cap table. Before and after your investment, including option pools and convertible notes.
  • Companies House filings. After new shares are issued, the company files a return of allotment (SH01). Anyone who holds more than 25% of shares or votes, or can appoint most directors, is a person with significant control, and changes are reported within 14 days of the company confirming them.
  • How the Nigerian company was funded. If the parent sent money into Nigeria, ask whether the bank issued a Certificate of Capital Importation.

Why the CCI matters for your return

Your return arrives in one of two ways: dividends, or a sale of your shares. Both depend on the Nigerian company being able to pay its parent. Templars' FAQ on repatriation explains that a CCI is not mandatory but that without one an investor cannot use the official foreign exchange market to repatriate dividends or capital. Under the CBN FX Manual 2026, Pavestones reports that capital imported through a bank is registered on an electronic CCI within 24 to 48 hours of the inflow. A parent company that funded its Nigerian subsidiary informally may struggle to move profits up later. The mechanics are in the CCI and investor exits.

Tax from the UK side

Information, not advice. For a UK resident individual:

  • Dividends from the UK parent are UK dividends. For 2026-27 GOV.UK gives a £500 dividend allowance and rates of 10.75% (basic), 35.75% (higher) and 39.35% (additional).
  • Selling your shares is a disposal for Capital Gains Tax. For 2026-27 GOV.UK gives a £3,000 annual exempt amount and rates of 18% within the basic rate band and 24% above it.
  • Dividends from Nigeria to the parent carry Nigerian withholding tax; the 1987 UK–Nigeria treaty caps it at 12.5% where a company controls 10% or more of the voting power and 15% otherwise (Article 10).
  • SEIS. Relief depends on the parent being established in the UK and meeting HMRC's conditions; a parent that controls a Nigerian subsidiary has further tests. See SEIS rules for Nigerian startups.

On the Nigerian side, PwC notes that under the Nigeria Tax Act 2025 gains are taxable where the asset is located or deemed located in Nigeria. Whether a sale of shares in a foreign parent could be caught depends on the facts; ask the company's Nigerian tax adviser.

Example (labelled)

Example only. A founder offers 1% of a UK parent for £20,000, which values the company at £2,000,000. A later round issues new shares equal to 25% of the enlarged company, so your 1% becomes 0.75%. If the company is sold for £8,000,000 after that round, your stake is worth £60,000 before costs, a gain of £40,000. With £37,000 above the £3,000 allowance taxed at 24%, CGT would be £8,880; at 18% it would be £6,660. The arithmetic only works if the sale actually happens.

What to check first

  1. The parent's Companies House record, directors and PSCs.
  2. CAC records showing the parent owns the Nigerian company.
  3. A signed subscription agreement and a copy of the articles.
  4. Payment instructions to the parent's own business account.
  5. Whether the Nigerian subsidiary's capital came in with a CCI.
  6. That the offer is not a promise of a fixed return dressed up as equity; that is a different and riskier thing (see warning signs on high naira returns).

Where Pryme fits

If you invest in pounds and later receive dividends or sale proceeds, a Pryme multicurrency account can hold GBP alongside naira. A verifiable receipt of your subscription payment helps when the company or HMRC later asks what you paid and when.

Questions people ask

Do I own part of the Nigerian company if I buy into the UK holdco?

Indirectly. You own shares in the UK parent, which owns the Nigerian company. Check that the parent actually holds the Nigerian shares on CAC records.

What is a startup flip?

Moving a business so that a foreign company becomes the parent of the Nigerian operating company, usually to raise money from foreign investors.

How are dividends from a UK holdco taxed in the UK?

As UK dividends: for 2026-27, a £500 allowance then 10.75%, 35.75% or 39.35% depending on your band, per GOV.UK.

Why does a CCI matter to me as a shareholder?

Without a CCI the investor cannot use the official FX market to repatriate dividends or capital from Nigeria, per Templars, which can block money reaching the parent.
