Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Investment crowdfunding in Nigeria: SEC rules

The SEC's 2021 Crowdfunding Rules explained: who may run a portal, how much a business can raise, the 10% investor limit and the one-year lock-in.

The short answer

Investment crowdfunding in Nigeria is regulated by the SEC's Crowdfunding Rules of January 2021: only SEC-registered Crowdfunding Intermediaries may run portals, a business can raise up to ₦100 million a year, and a retail investor may put in no more than 10% of their net annual income in 12 months.

Investment crowdfunding lets many people put small sums into a business through an online platform, in return for shares, a bond or a share of profits. In Nigeria it is regulated by the Securities and Exchange Commission (SEC), which issued dedicated Crowdfunding Rules in January 2021. The rules decide who can run a platform, which businesses can raise money, how much, and how much an ordinary investor may put in. This guide summarises them, based on law firm Aelex's July 2021 analysis of the rules; check the SEC's website for any amendment since.

What the rules cover

According to Aelex, the rules were released on 12 January 2021 under section 13(a) of the Investment and Securities Act 2007 and apply only to investment-based crowdfunding, where investors receive securities. Donation and reward crowdfunding, where you give money or get a product, are outside them. Platforms already operating had to register or stop by 30 June 2021, and running an unregistered portal after that date is illegal.

Who can run a portal

Only a Crowdfunding Intermediary, a company registered with the SEC, may operate a crowdfunding portal. Among the requirements Aelex lists:

  • Board members, the chief executive and key officers must be fit and proper persons.
  • At least three principal officers registered with the SEC as sponsored individuals.
  • A fidelity insurance bond.
  • A cash assets ratio of 30% liquid assets to 70% fixed and other assets.
  • Due diligence on each business it hosts and an attestation that it has checked the business is legitimate.
  • Clear disclosure of fees, risks, complaints procedures and the business's ownership and management.

Investor money must be held by a registered custodian in a separate trust account for each funding round, and released to the business only if the target or minimum is met. If the minimum is not reached within the offer period, the offer must be withdrawn and investors refunded.

Who can raise money, and how much

Fundraisers must be micro, small or medium enterprises incorporated in Nigeria with at least a two-year operating record, or with a technical partner or core investor if younger. The maximum they can raise in any 12-month period is:

Business size (SMEDAN classification)Maximum in 12 months
Medium enterprise₦100 million
Small enterprise₦70 million
Micro enterprise₦50 million

Permitted instruments are ordinary shares, plain vanilla bonds or debentures, and simple investment contracts approved by the SEC. An offer can stay open for up to 90 days: 60 days plus a 30-day extension. Separate commodities investment platforms, which connect investors to agricultural or commodity projects, have a limit of ₦1 billion in 12 months unless the SEC approves more.

The investor limit

For retail investors, the rules cap what can be sold to you. As Aelex quotes them, amounts sold to retail investors in a 12-month period 'shall not exceed 10% of their net annual income in a calendar year'.

Net annual income (example)
₦4,800,000
10% limit
₦480,000 across all crowdfunding investments in 12 months
If you invest ₦300,000 in one campaign
₦180,000 left for others in the same period

Portals must show that investment limits are monitored, display warnings that these investments are speculative and high-risk, and get every investor to sign a risk acknowledgement before investing.

What you give up

  • Liquidity: there is a one-year lock-in, and intermediaries may not run or facilitate secondary trading in the securities, so you may not be able to sell at all.
  • Some protections: Aelex notes that investors give up prospectus-based protections and claims against the national investor protection fund.
  • Certainty: young businesses fail often, and equity in a private company may never pay a dividend or be sold.

There are some safeguards built in. Equity offers must give retail investors tag-along rights if control is sold, and debt offers must give investors an early redemption option if control passes to third parties within three years. A portal cannot host a business in which it or its insiders hold more than 5% without SEC approval.

Steps before you invest

  1. Search the platform's company name on the SEC's Find a Registered Operator directory and confirm its status. If it does not appear, ask the platform for its SEC registration and check it with the SEC.
  2. Read the business's offer page: what you get, the target and minimum, and how the money will be used.
  3. Check that funds go to a named custodian's trust account, not the platform's or the founder's own account.
  4. Work out your 10% limit and stay well within it.
  5. Treat any promise of a fixed high return with suspicion; see how to spot investment scams.

For other regulated ways to invest small sums, see our check list for SEC-licensed investment apps and the guide to buying a mutual fund.

Questions people ask

Is crowdfunding legal in Nigeria?

Investment crowdfunding is legal only through a portal run by an SEC-registered Crowdfunding Intermediary under the SEC's 2021 Crowdfunding Rules. Operating an unregistered portal after 30 June 2021 is illegal.

How much can I invest in crowdfunding in Nigeria?

As a retail investor, no more than 10% of your net annual income in a 12-month period, according to the rules as summarised by Aelex.

How much can a business raise through crowdfunding in Nigeria?

Up to ₦100 million for a medium enterprise, ₦70 million for a small one and ₦50 million for a micro enterprise in 12 months.

Can I sell my crowdfunding shares?

There is a one-year lock-in, and portals may not facilitate secondary trading, so selling may be difficult or impossible.
