Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Dormant company at CAC: how to declare and what you still file

CAMA 2020 has no dormant-status filing. What the Act does say about companies that have not traded, the returns that continue and your options.

The short answer

CAMA 2020 does not create a separate "dormant company" status or a form to declare one: a company that is not trading still files its annual return every year (section 417), notifies CAC of changes, and keeps its registers. What the Act does give is relief from audit for a company that has not carried on any business since incorporation (section 402), a voluntary striking-off route for one that never commenced business (section 692(1)), and a power for CAC to strike off a company not in operation for 10 years (section 692(3)).

Is there such a thing as a dormant company in Nigeria?

In everyday use, a dormant company is one that is registered but not trading: no sales, no staff, perhaps a bank account with no movement. Owners often ask how to "declare" this to CAC. The Companies and Allied Matters Act 2020 (CAMA) does not use "dormant" for companies at all, and CAC's 2022 Operations Checklists contain no dormant-status filing. So there is nothing to declare. Instead, the Act treats a non-trading company in three specific ways, set out below.

1. Audit relief if it has never traded

Section 402(1) exempts a company from CAMA's audit requirements if (a) it has not carried on any business since its incorporation, or (b) it is a small company under section 394. Section 402(2) removes the exemption for insurers, banks and any other company CAC prescribes.

Note the wording: relief under (a) is for a company that has never traded since incorporation. A company that traded for three years and then stopped does not use (a), though it may still qualify as small under (b) if it meets the turnover, net asset and ownership tests in section 394(3). See small company exemptions under CAMA 2020.

2. What you still file

ObligationWhere in CAMAApplies when not trading?
Annual return every years.417; not due in the year of incorporationYes
Notice of change of registered addresss.728, within 14 daysYes, if you move
Notice of director or secretary changess.339 for secretaries, within 14 daysYes
Persons with significant control updatesCAMA PSC disclosure rulesYes, if control changes
Financial statementsAnnexed to the annual return (s.422), with small company and unlimited company exceptions (s.424)Yes, even if they show nil activity

The annual return fee does not fall because a company is idle. Under CAC's New Schedule of Fees (Official Gazette, 29 May 2025), as at October 2026, a company limited by shares with ₦100,000 to ₦100 million share capital pays ₦5,000 per annual return; a company limited by guarantee pays ₦10,000. Late filing carries a one-off penalty (₦1,000 for a small company, ₦2,000 for other private companies) assessed against the company and each officer, plus daily default penalties. See CAC annual returns.

Worked example (illustrative): a small company with ₦1 million share capital that stopped trading in 2023 and filed nothing for 2024, 2025 and 2026 owes 3 × ₦5,000 = ₦15,000 in return fees before penalties. Filing each year on time would have cost exactly that, without the penalties.

3. Ending the company instead

If the company will not trade again, keeping it alive costs money and admin every year. CAMA offers two CAC routes besides winding up through the court:

  • Voluntary striking off (section 692(1)): available where the company has not commenced business and has no undischarged obligations. It needs a special resolution, an application to CAC and an advertisement in three national dailies within 28 days of the resolution calling for objections. CAC's 2022 checklist lists Form CAC 13. The 2025 schedule sets the fee at ₦25,000 for a small company and ₦50,000 for other private companies.
  • CAC strike-off (section 692(3) and (4)): where CAC believes a company is not carrying on business, or has not been in operation or complied with CAMA for 10 consecutive years, it may publish notice in three national dailies and strike the company off if there is no response within 90 days. Directors' and members' liabilities continue after strike-off (section 692(5)).

A company that did trade at some point does not fit the voluntary route in section 692(1), so it usually needs members' voluntary winding up instead. Our guide on striking off or winding up a company compares the options.

Matching the option to your situation

Registered, never traded, may use it later
Keep filing annual returns; no audit needed under section 402(1)(a); keep the address and officers current.
Registered, never traded, no plans
Consider voluntary striking off under section 692(1) while the company still has no obligations.
Traded, now paused for a season
Keep filing; check whether it qualifies as small for audit relief; keep the bank account and records in order.
Traded, finished for good
Settle debts and consider members' voluntary winding up rather than leaving it to lapse.

Keeping a non-trading company safely

  1. File the annual return every year, with nil or minimal financial statements as applicable.
  2. Keep the registered address real; CAC and courts send notices there.
  3. Keep director, secretary and PSC details current.
  4. Keep the company's portal login under your control.
  5. Decide each year whether the company still has a purpose.

Where Pryme fits

If the company keeps a Pryme Business Account while idle, the Compliance agent can prepare the annual return reminder and a nil-activity summary for a director to approve.

Questions people ask

How do I declare my company dormant with CAC?

There is no dormant-status filing under CAMA 2020. A non-trading company keeps filing annual returns; if it has never traded it is exempt from audit under section 402.

Do dormant companies file annual returns in Nigeria?

Yes. Section 417 requires an annual return every year after the year of incorporation, whether or not the company trades.

Can CAC strike off an inactive company?

Yes. Under section 692(3) CAC may strike off a company not in operation or not complying for 10 consecutive years, after newspaper notice and 90 days without response.

How much is voluntary striking off at CAC?

₦25,000 for a small company and ₦50,000 for other private companies under the 29 May 2025 gazetted schedule, as at October 2026.
