Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

How to strike off or wind up a company at CAC

Voluntary strike-off under section 692 of CAMA 2020 versus members' voluntary winding up: who can use each, the steps, the 2025 CAC fees and timelines.

The short answer

A company that never started business and has no debts can apply to CAC for voluntary strike-off: pass a special resolution, advertise in three national dailies within 28 days and apply (CAMA 2020, section 692(1)); the fee is ₦25,000 for a small company and ₦50,000 for other private companies (May 2025 schedule). A company that has traded must be wound up, normally through a members' voluntary winding up with a declaration of solvency.

Two routes, one question

The question that decides the route is simple: has the company ever carried on business, and does it owe anything? Section 692(1)(d)(ii) of the Companies and Allied Matters Act 2020 lets CAC strike off on request only if the company "has not commenced business and has no undischarged obligations". Everyone else needs a winding up.

Voluntary strike-offMembers' voluntary winding up

CAC fee (May 2025)₦25,000 small / ₦50,000 private / ₦100,000 publicFiling fees for each document; liquidator's fees extra

Voluntary strike-off: steps

  1. Confirm the company never started business and has no outstanding obligations: no loans, unpaid tax, staff, leases or open contracts.
  2. Bring CAC filings up to date, including any annual returns due; an objection or query is likelier if they are outstanding.
  3. Members pass a special resolution that the company be struck off.
  4. Within 28 days of the resolution, advertise in three national daily newspapers calling for objections (section 692(1)(c)).
  5. Apply to CAC with the resolution, copies of the advertisements and the reasons, and pay the fee.
  6. CAC strikes the company off if the reasons are sufficient and no reasonable objection arrived within 28 days of the advertisement.

After a voluntary strike-off, an aggrieved person has two years to ask the court to restore the company (section 692(2)). Directors' and members' liabilities, if any, continue (section 692(5)).

Members' voluntary winding up: steps

  1. Directors (or a majority, if more than two) make a statutory declaration of solvency: that the company can pay its debts in full within a stated period of not more than 12 months, with a statement of assets and liabilities (section 625).
  2. The declaration must be made within the five weeks before the winding-up resolution.
  3. Members pass a special resolution to wind up voluntarily (section 620(1)(b)) and appoint a liquidator.
  4. Within 15 days of the resolution, deliver the declaration and resolution to CAC (section 625(2)).
  5. Within 14 days, advertise the resolution in the Federal Government Gazette or two daily newspapers and notify CAC (section 621).
  6. The liquidator collects assets, pays creditors, distributes any surplus to members and keeps accounts (section 633), then completes the closing filings with CAC so the company can be dissolved.

Worked example: which route and what CAC costs

Example only. Company A was registered in 2023, opened no bank account and never traded. It is small, so voluntary strike-off costs ₦25,000 at CAC plus three newspaper advertisements (prices vary by paper). If it owes two annual returns at ₦5,000 each with a ₦1,000 one-off penalty each, clearing them first adds ₦12,000, for ₦37,000 in CAC fees.

Company B traded for five years and has ₦3 million in the bank and ₦800,000 owed to suppliers. It cannot use strike-off because it commenced business. It needs a members' voluntary winding up: declaration of solvency, special resolution, liquidator, advertisements, payment of the ₦800,000 to suppliers, then distribution of the rest to shareholders. Liquidator and legal fees will be the main cost.

Timelines at a glance

28 days
Strike-off: advertise in three dailies within 28 days of the resolution; objections are counted for 28 days after the advert (s.692(1)).
Five weeks
Winding up: declaration of solvency made within five weeks before the resolution (s.625(2)).
14 days
Winding up: advertise the resolution and notify CAC within 14 days (s.621).
15 days
Winding up: deliver declaration and resolution to CAC within 15 days (s.625(2)).
12 months
Winding up: the longest period a declaration may give for paying debts in full (s.625(1)).
Two years
Window for a court application to restore a voluntarily struck-off company (s.692(2)).

What not to do

  • Do not just stop filing. CAC can strike off a company after 10 years of non-compliance (section 692(3)), but directors stay liable and assets in the company's name go to the State (section 693). See restoring a struck-off company.
  • Do not use strike-off for a company that has traded. The Act does not allow it, and objections from creditors or tax authorities will stop it.
  • Close tax and bank matters too. CAC removal does not settle tax liabilities.
  • Clear any overdue returns before applying; see CAC annual returns.

Closing a business name instead? That is a separate cessation process; see how to close a business name.

Where Pryme fits

Before closing, move remaining balances out and export your records. From a Pryme Business Account you can generate statements, including verifiable ones through VerifyDoc.ai (receipts and statements), for the liquidator or your files.

Questions people ask

How do I close a company that never traded?

Use voluntary strike-off under section 692(1) of CAMA 2020: special resolution, three newspaper adverts within 28 days, then apply to CAC. The fee is ₦25,000 for a small company (May 2025 schedule).

What is the difference between strike-off and winding up?

Strike-off is for companies that never started business and owe nothing. Winding up is for companies that traded: a liquidator settles debts and distributes what is left.

How long does voluntary winding up take in Nigeria?

The declaration of solvency must say debts will be paid within 12 months at most. Actual time depends on the assets and creditors.

Can I just abandon my company?

You can stop filing, but directors remain liable, assets can pass to the State, and CAC may strike it off after 10 years of non-compliance.
