Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

United States

Closing a Nigerian company from the US

Strike-off only works if the company never traded and owes nothing. For a trading company, the winding-up route, final tax returns and the deadlines.

The short answer

You can close a Nigerian company from the US, but the route depends on its history. Voluntary striking off under CAMA 2020 section 692 is only for a company that has not commenced business and has no undischarged obligations; CAC's fee is ₦50,000 for a private company (₦25,000 if small). A company that has traded normally goes through a members' voluntary winding up, and the tax law requires notice of cessation within 30 days and final returns within six months.

Two routes, and which one fits

Voluntary striking off (s.692)Members' voluntary winding up (ss.620-625)
ForA company that never commenced business and has no undischarged obligationsA solvent company that has traded
Starts withSpecial resolution and application to CAC (form CAC 13)Special resolution, declaration of solvency, appointment of a liquidator
PublicityNotice in three national dailies within 28 days of the resolution; 28 days for objectionsNotice of the resolution within 14 days
CAC fee₦25,000 small / ₦50,000 private (29 May 2025 schedule)Filing fees plus the liquidator's charges
Ends withCAC publishes the strike-offLiquidator's final account and dissolution

The trap for diaspora owners is the first route. Many dormant companies were opened, a bank account was used for a while, and then they went quiet. If the company ever traded or still owes anyone, including tax, section 692(1) does not fit, and an application on that basis can be refused or challenged.

If the company never traded: striking off

  1. Shareholders pass a special resolution that the company be struck off.
  2. Publish a notice calling for objections in three national daily newspapers within 28 days of the resolution.
  3. Apply to CAC with form CAC 13 (CAC's 2022 operations checklist ties it to s.692) and pay the strike-off fee.
  4. If no reasonable objection is received within 28 days of the advert and CAC is satisfied, it strikes the company off and publishes the fact.

Striking off does not wipe the slate. Section 692(5) keeps directors, officers and members liable as if the company had not been struck off, and an aggrieved person can apply to court to restore it within two years.

If the company traded: members' voluntary winding up

For a solvent trading company, CAMA's voluntary winding up provisions (sections 620 to 625) apply. The directors make a statutory declaration of solvency stating that the company can pay its debts in full within 12 months; it must be made within the five weeks before the resolution and filed within 15 days. Shareholders then pass a special resolution, notice of which is given within 14 days, and appoint a liquidator, who collects assets, pays creditors and distributes what is left. Directors in the US can sign declarations and resolutions abroad, but plan how they will be notarised and authenticated for use in Nigeria.

Tax: the part that delays closure

The Nigeria Tax Administration Act 2025 sets the tax steps for a company that permanently stops business:

  • Notify the tax authority of the intention to deregister within 30 days of permanent cessation (s.10). Failing to notify carries a penalty of ₦100,000 for the first month and ₦5,000 for each further month (s.112).
  • File returns for the year of cessation and any outstanding years within six months of cessation (s.11).
  • Provide for tax before distributing. A liquidator must provide for tax before paying shareholders and is personally liable if they do not (s.53).

If the company has filed nothing for years, start by finding out what CAC and NRS show. CAC's daily default for late annual returns is ₦200 a day for a private company on the 2025 schedule, which adds up; CAC annual returns explains the filing itself.

What about just leaving it?

Section 692(3) and (4) let CAC strike off a company it believes has not operated or complied for ten years, after notices in three dailies and 90 days without response. Waiting a decade is not a plan: penalties accumulate, the company's name and directors stay on the record, and a company struck off this way can be restored on application within ten years.

Worked example

Example only: Ada, in Dallas, owns Ada Imports Ltd, which traded until March 2026 and has ₦4 million in the bank and no creditors. A strike-off does not fit because it traded. She uses a members' voluntary winding up: declaration of solvency, special resolution, liquidator appointed. The company notifies NRS of cessation by April and files final returns by September 2026. The liquidator provides for tax first, then pays the balance to Ada. If she wants the proceeds in dollars, the bank will look at whether her original investment came in with a Certificate of Capital Importation.

Where Pryme fits

Closing a company is easier when the records are complete. A Pryme Business Account keeps the company's statements in one place, and verifiable statements through VerifyDoc.ai let a liquidator or tax officer check they are unaltered. The Compliance agent can lay out the 30-day and six-month deadlines; a person approves each filing. Outside Nigeria, Pryme operates through regulated partners. US owners should also check their own US reporting for the year the company closes (see owning a Nigerian company as a US person).

Questions people ask

Can I strike off a Nigerian company that has traded?

Not under s.692(1). Voluntary strike-off is for companies that have not commenced business and have no undischarged obligations. A trading company is wound up.

How much does CAC charge to strike off a company?

₦25,000 for a small company and ₦50,000 for a private company, on the schedule gazetted 29 May 2025.

Do I need to notify NRS when closing a company?

Yes. The NTAA 2025 requires notice of intention to deregister within 30 days of permanent cessation and final returns within six months.

Can I close a Nigerian company without travelling?

Usually, yes. Resolutions and declarations can be signed abroad, but they must be properly executed for use in Nigeria, and a liquidator or agent in Nigeria handles filings.
