Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

How to change a registered business or company name at CAC

Special resolution, name reservation, Form CAC 3 or CAC/BN 03, the gazetted fees and what happens to your certificate, contracts and bank account.

The short answer

A company changes its name by passing a special resolution, reserving the new name with CAC (₦1,000), and filing Form CAC 3 with a stamped memorandum and articles in the new name; CAC then issues an altered certificate of incorporation (CAMA 2020, section 30). The 29 May 2025 fee schedule sets the change-of-name fee at ₦10,000 for a small company, ₦20,000 for other private companies and ₦50,000 for a public company; a business name pays ₦10,000 and files Form CAC/BN 03.

Company or business name: two different routes

Nigerians often say "business name" for any registered business, but CAC treats the two very differently. A company (anything ending in Ltd, Plc or Ltd/Gte) is a separate legal person; its name sits in its memorandum and can only change by a decision of its members. A business name (BN) is a registration of the name under which an individual or firm trades; changing it is a notice of changed particulars under section 818 of CAMA 2020. If you are unsure which you hold, our explainer on RC numbers and BN numbers shows how to tell.

Changing a company name, step by step

  1. Check the name is available. CAC's service charter lists a name availability search at four hours. A name that is identical to, or nearly resembles, an existing company, trade mark or business name can be refused (sections 30(1), 30(4) and 852).
  2. Reserve it. Section 31 lets CAC reserve a name for up to 60 days. The gazetted fee is ₦1,000, or ₦5,000 if the name contains restricted words.
  3. Pass a special resolution. Section 30(3) requires a special resolution of the members.
  4. Prepare a stamped memorandum and articles showing the new name. CAC's 2022 checklist lists this with the resolution as the supporting documents for Form CAC 3.
  5. File Form CAC 3 on the portal and pay the fee.
  6. Receive the altered certificate. Section 30(5) says CAC enters the new name and issues a certificate of incorporation altered to suit the case.

Section 30(5) speaks of an altered certificate for the same company, not a new registration, so the company itself continues. Section 30(6) is clear that a new name does not affect any right or obligation of the company or any legal proceeding; contracts signed under the old name stay valid. Section 30(7) requires CAC to publish changes of name periodically in a national daily and on its website, so the change is public.

One exception

No CAC approval of the name is needed where the only change is swapping "Limited" for "Public Limited Company" or the reverse on re-registration (section 30(3)). That is part of a conversion between private and public, a separate filing.

Why change-of-name filings come back

  • The reservation has lapsed: section 31(2) caps a reservation at 60 days, so file the change while it is still valid.
  • The resolution and the memorandum show different names, or the documents are altered or handwritten; CAC's checklist asks for typed, clean documents with no erasures.
  • The new name ends wrongly: section 29 says a private company name ends in "Limited" (or "Ltd"), a public one in "Public Limited Company" (or "PLC").
  • The name contains a word that needs consent, such as "Federal", "National", "Group" or "Holding" (section 852(2)), without that consent.
  • The memorandum was not stamped, which CAC's checklist lists as a requirement.

Changing a business name

For a BN, the 2022 checklist lists Form CAC/BN 03 under section 818, completed online. Section 818(1) gives 28 days from the change to notify CAC, and section 818(2) says the notice must be signed as section 815 requires: by the proprietor, or by every partner in a firm. Under section 817(2) the Registrar may either amend the existing certificate or issue a fresh one. Reserve the new name first, as you did at registration.

Fees and timelines

Figures from CAC's New Schedule of Fees in the Official Gazette of 29 May 2025, as at October 2026. Confirm the amount on the portal before paying.

EntityName reservationChange of name feeCharter timeline
Small company₦1,000₦10,00024 hours
Private company (not small)₦1,000₦20,00024 hours
Public company₦1,000₦50,00024 hours
Company limited by guarantee₦5,000 (restricted words and Ltd/Gte)₦20,00024 hours
Business name₦1,000₦10,00048 hours online
Incorporated trustees₦5,000₦25,0002 working days online

Worked example (illustrative): a small company reserving an ordinary name and changing to it pays ₦1,000 + ₦10,000 = ₦11,000 in CAC fees, plus any stamping of the amended memorandum and any agent or lawyer fee. Timelines come from CAC's May 2023 service charter and assume the filing is not queried.

After the new certificate: what to update

  • Your bank: corporate account files include CAC documents and the memorandum and articles (Access Bank's corporate account page lists both), so expect to submit the altered certificate and resolution.
  • Tax records, permits, sector licences and domain names.
  • Signage, invoices, letterheads and your seal, if you use one.
  • Contracts: no re-signing is needed by law, but a short notice to customers and suppliers avoids payment confusion.

Keep the old name visible as "formerly" for a while if customers know you by it. Fees for every CAC service are gathered in CAC fees in 2026, and reasons names are refused in why CAC rejects names.

Where Pryme fits

When the altered certificate arrives, a Pryme Business Account can be updated to the new name, and the Compliance agent can prepare the list of records to update for a person to approve.

Questions people ask

How much is change of name at CAC for a limited company?

Under the 29 May 2025 gazetted schedule, ₦10,000 for a small company, ₦20,000 for other private companies and ₦50,000 for a public company, plus ₦1,000 name reservation, as at October 2026.

Is my company a new company after a change of name?

No. CAC enters the new name and issues an altered certificate; section 30(6) of CAMA 2020 says rights, obligations and legal proceedings are unaffected.

Do I need a special resolution to change a company name?

Yes. Section 30(3) of CAMA 2020 requires a special resolution and CAC's written approval.

Can I change my business name without registering a new one?

Yes. A registered business name files a change of particulars (Form CAC/BN 03 per CAC's checklist) within 28 days of the change; the fee is ₦10,000 under the 2025 schedule.
