Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

How to change your company's objects at CAC

Changing what your company is allowed to do needs a special resolution, a 28-day objection window and a CAC filing within 15 days. Steps, fee and timing.

The short answer

To change your company's objects (the business stated in its memorandum), members pass a special resolution at a meeting with 21 days' notice, or a private company uses a written resolution signed by all voting members; holders of 15% can then ask the court to cancel it within 28 days, and if nobody does, the company files the resolution with CAC within 15 days after that window (CAMA 2020, s.51). CAC's fee is a post-incorporation filing (₦5,000 for a small company, ₦10,000 for other private companies), and its listed timeline is 12 working hours.

Why objects still matter

Under s.27 of CAMA 2020 the memorandum must state the nature of the business the company is authorised to carry on. Section 44 says a company must not carry on business expressly prohibited by its memorandum. In practice the objects matter for three reasons: banks and regulators read them when you open accounts or apply for licences; CAC's FAQ says it can require more issued share capital for certain objects; and clients doing due diligence check that you are set up for the work you are bidding for. If you are moving from, say, general trading into logistics or software, update the objects first.

The steps under section 51

  1. Draft the new objects clause. Keep it clear and specific to what you will do; vague lists can draw queries.
  2. Call the meeting or circulate a written resolution. A special resolution needs at least three-quarters of the votes cast at a general meeting with 21 days' notice specifying the resolution (s.258(2)). Notice must go to all members, whether or not entitled to vote (s.51(1)), and to holders of debentures secured by a floating charge (s.51(5) and (6)). A private company may instead use a written resolution signed by all members entitled to attend and vote (s.259).
  3. Wait out the objection window. Holders of at least 15% of issued share capital (or of a class), 15% of members, or 15% of floating-charge debentures may apply to court to cancel the change within 28 days of the resolution (s.51(2) and (3)). Anyone who voted for it cannot apply.
  4. File with CAC. If no application is made, deliver a copy of the resolution to CAC within 15 days from the end of the 28-day period (s.51(7)(b)). If an application is made, notify CAC at once and file the court order within 15 days of it.
  5. Deliver the altered memorandum. If CAC is satisfied, a printed copy of the memorandum as altered is delivered (s.51(8)(a)). If CAC refuses, it gives written notice and you can appeal to the court within 21 days (s.51(8)(b)).

Timeline at a glance

StageTime
Notice of general meeting for a special resolution21 days (unless short notice is agreed under s.258)
Objection window after the resolution28 days
Filing with CAC after the window closesWithin 15 days
CAC processing (alteration of memorandum and articles)12 working hours from a complete application
Appeal if CAC refuses21 days from notice of rejection

Example: a resolution passed on 1 March with no court application. The 28-day window ends on 29 March, so the filing must reach CAC by 13 April. Using a written resolution avoids the 21-day notice period but not the 28-day window.

Fee and documents

Alteration of the memorandum is filed as a post-incorporation service on the Company Registration Portal. Under CAC's schedule gazetted on 29 May 2025, post-incorporation and miscellaneous filings cost ₦5,000 for a small company or company limited by guarantee, ₦10,000 for other private companies and ₦20,000 for public companies. CAC's same-day option is an extra ₦20,000 for small companies and ₦30,000 for other private companies. Typical uploads:

  • the signed special resolution or written resolution
  • minutes or notice of the meeting, if held
  • the amended objects clause or memorandum
  • any regulator's approval where the new objects are in a licensed sector
  • evidence of an increase in share capital, if CAC asks for it, with receipts for filing fees and stamp duty uploaded under "OTHERS" (CAC FAQ)

Late filing attracts CAC penalties: the same schedule sets daily default penalties of ₦100 for small companies and ₦200 for other private companies, plus one-off penalties.

After CAC approves

  • download a CTC of the altered memorandum if a bank or regulator needs one (CTC guide)
  • pull a new status report (status report)
  • tell your bank, especially if the new business changes your account's risk profile
  • apply for any sector licence the new activity needs before you start it
  • check whether your company name still fits; if not, see changing a company name

This is information about the procedure, not legal advice; where shareholders disagree, take advice before passing the resolution.

Common mistakes

  • Filing with CAC the day after the meeting. The resolution has no effect if a valid court application is made, and the CAMA filing window runs from the end of the 28 days.
  • Forgetting debenture holders with a floating charge, who are entitled to the same notice as members.
  • Starting the new activity before a required sector licence is in place; new objects do not replace a licence.
  • Writing objects so wide that they draw a query, or so narrow that you need another change a year later.

Where Pryme fits

If a change of objects takes your company into new markets, a Pryme Business Account can hold NGN, USD, GBP and EUR with local account details, and the Compliance agent can prepare the resolution timetable above for a person to approve.

Questions people ask

How do I change my company objects at CAC?

Pass a special resolution, wait 28 days for any court objection, then file the resolution with CAC within 15 days after that window (CAMA s.51).

How much does CAC charge to alter the memorandum?

It is a post-incorporation filing: ₦5,000 for a small company, ₦10,000 for other private companies and ₦20,000 for public companies.

Can a private company change its objects without a meeting?

Yes. A written resolution signed by all members entitled to attend and vote is valid under section 259.

How long does CAC take to approve a change of objects?

CAC lists 12 working hours for alteration of the memorandum and articles once the application is complete.
