Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Business

Vehicle sale agreement template for dealers

A copyable vehicle sale agreement for Nigerian car dealers: who owns the car and when, what 'as is' really covers, and the papers to hand over.

The short answer

A dealer's vehicle sale agreement should name the buyer and seller, identify the car by chassis (VIN) and engine number, state the price and how it was paid, say exactly when ownership and risk pass, and list the papers handed over. An 'as is' clause helps, but Nigerian courts still apply the Sale of Goods rules: the Supreme Court in Leventis Motors v Agbajor (1971) treated a second-hand car as merchantable if it is roadworthy and safe to drive, so describe the car's known faults in writing.

Why a written agreement matters for a dealer

Most disputes after a car sale are about one of three things: whether the buyer knew about a fault, whether the price was fully paid, and who was responsible for the car between payment and collection. A one-page receipt rarely answers any of them. A proper agreement does, and it is also the document the buyer will need when the state licensing office records the change of ownership (see change of ownership for a used car).

Dealers have a second reason to keep tidy paperwork. The Special Control Unit against Money Laundering (SCUML) lists car dealers among the designated non-financial businesses that must register with it, and its registration page asks car dealers for evidence of membership of the Automobile Dealers Association (AMDON) alongside CAC and tax documents. Registration and certification are free, according to SCUML's own page. A file of signed agreements, IDs and payment records is the evidence base that sits behind that registration.

What the law already puts into a sale

Nigeria's states have Sale of Goods laws based on the English Sale of Goods Act 1893. These imply terms into a sale by a dealer, most importantly that goods sold by description are of merchantable quality. In Leventis Motors Ltd v Agbajor [1971] NGSC 15, a buyer of a second-hand Mercedes counterclaimed for breach of those conditions. The Supreme Court held the car was sold and bought as second-hand, found no hidden defect, and, following the English case Bartlett v Sidney Marcus (1965), said a used car is merchantable if it is roadworthy and fit to be driven safely, even if not perfect. Repairs for ordinary wear did not amount to a breach.

Two lessons follow. First, describe the car accurately as used, foreign-used or new, with its mileage and known faults; the description is what the buyer is entitled to. Second, an 'as is' clause is strongest when it sits beside a written list of disclosed defects and an inspection the buyer actually carried out. It is weak cover for a hidden defect you knew about. This is general information, not legal advice; a lawyer should review your standard form once.

The template

Copy the clauses below into your letterhead and fill the brackets. Keep one signed copy each and scan both.

  1. Parties. This agreement is made on [date] between [dealer's registered name], RC/BN [number], of [address] (the Seller) and [buyer's full name as on ID], of [address], ID type and number [ ], phone [ ] (the Buyer).
  2. The vehicle. Make [ ], model [ ], year [ ], colour [ ], chassis/VIN [17 characters], engine number [ ], mileage at sale [ ] km, plate number [if registered] or 'unregistered'. Condition: [new / foreign-used / Nigerian-used].
  3. Price and payment. The price is ₦[ ] in words [ ]. Paid as follows: [amount] by bank transfer on [date] to account [name and bank], reference [ ]; balance [if any] due on [date]. The Seller confirms receipt only of sums that have arrived in its account.
  4. Ownership. Ownership passes to the Buyer when the full price has been received by the Seller. Until then the vehicle remains the Seller's property.
  5. Risk and delivery. The vehicle is delivered at [place] on [date]. Risk of loss or damage passes to the Buyer on delivery. If the Buyer leaves the vehicle with the Seller after full payment, the Seller holds it at the Buyer's risk for up to [ ] days.
  6. Condition and inspection. The Buyer has inspected and test-driven the vehicle [or had it inspected by a mechanic of the Buyer's choice] on [date]. The Seller has disclosed the following known faults: [list, or 'none known']. Apart from these, the vehicle is sold in its present condition ('as is'), and the Seller gives no warranty beyond those the law does not allow to be excluded.
  7. Documents. The Seller hands over: [customs papers for an imported vehicle / vehicle licence / proof of ownership / previous owner's agreement / keys and spare key]. The Seller confirms it has the right to sell the vehicle and that, to its knowledge, it is not stolen, pledged or subject to a hire-purchase or finance claim.
  8. Warranty (optional). The Seller will repair [engine and gearbox faults] reported within [ ] days or [ ] km, whichever comes first, at its workshop. This excludes [wear items, accident damage, faults from misuse].
  9. Change of ownership. The Buyer is responsible for registering the change of ownership and for insurance in the Buyer's name from delivery. The Seller will sign any form the licensing office requires.
  10. Signatures. Seller's authorised signatory, name, title, signature, date. Buyer's name, signature, date. Two witnesses with names, addresses and signatures.

Checks before you sign

  • Run the VIN through the Nigeria Customs Service's Customs Verification Management System for an imported car. The Guardian reported in October 2025 that the check costs ₦15,000 by card and shows the vehicle's status and duty payment.
  • Match the plate to the vehicle on the FRSC's National Vehicle Identification Scheme where the car is already registered; our guide to customs papers and VIN checks covers this in detail.
  • Confirm the buyer's ID against the name on the agreement and on the bank transfer.
  • Do not accept large cash. The Money Laundering (Prevention and Prohibition) Act 2022, as quoted by TheCable, bars cash payments above ₦5,000,000 for an individual or ₦10,000,000 for a body corporate except through a financial institution.

Worked example (illustration only)

A Lagos dealer sells a foreign-used saloon for ₦9,800,000. The buyer transfers ₦7,000,000 on Monday and promises the ₦2,800,000 balance on Friday. Under clause 4, ownership stays with the dealer until Friday's transfer lands, so if the buyer defaults the dealer still owns the car. Under clause 5, if the buyer takes the car on Monday, risk passes on delivery even though ownership has not, so a crash on Wednesday is the buyer's loss. Write both dates into the agreement; leaving them out is how a part-paid car turns into a court case.

Where Pryme fits

A Pryme Business Account gives each sale a clear payment trail: bank-transfer checkout is free, and verifiable receipts from VerifyDoc.ai let a buyer, a lender or a licensing officer confirm the receipt is genuine and unaltered. The Compliance agent can prepare a checklist of IDs and papers for each sale for a person to approve.

Questions people ask

Is an 'as is' clause valid for used cars in Nigeria?

It helps, but it does not remove every implied term. Courts read the sale together with the Sale of Goods law; the Supreme Court in Leventis Motors v Agbajor treated a used car as merchantable if roadworthy and safe. Disclose known faults in writing so the description matches the car.

When does ownership pass when a buyer pays in instalments?

When the agreement says it does. A common dealer clause is that ownership passes only when the full price has been received, so the dealer keeps title until the last payment lands.

What papers should a dealer give a car buyer?

For an imported car, the customs papers; for a registered car, the vehicle licence, proof of ownership and previous sale agreement; plus keys and the signed sale agreement and receipt.

Do car dealers need to register with SCUML?

SCUML lists car dealers as designated non-financial businesses and asks them for AMDON membership evidence with CAC and tax documents. SCUML says registration is free.
