Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

CIPC beneficial ownership filing: what foreign owners submit

Who counts as a beneficial owner at CIPC, the 10-business-day deadlines, the passport checks for Nigerian owners and how the filing ties to annual returns.

The short answer

Every company registered with CIPC must declare its beneficial owners, the individuals who ultimately own or control it, within 10 business days of incorporation and within 10 business days of any change, and again with each annual return. Nigerian owners submit a certified passport through CIPC e-Services, where the declaration is checked against CIPC's Foreigner Assurance records. A company that has not filed cannot finalise its annual return.

Who is a beneficial owner

CIPC defines a beneficial owner as an individual who, directly or indirectly, ultimately owns the company or exercises effective control of it. Control can come through beneficial interests in shares, voting rights, or the power to appoint or remove directors. The key word is individual: a company cannot be a beneficial owner. If a Nigerian Ltd holds the shares of a South African Pty Ltd, the declaration looks through the Nigerian company to the people at the top.

CIPC's beneficial ownership page does not print a single percentage threshold for every case, so do not assume a small holder can be left out. Where in doubt, declare, and explain the chain of ownership.

Examples of who to declare

  • Example: Chidi owns 100% of a Pty Ltd directly. Chidi is the beneficial owner.
  • Example: a Lagos Ltd owns 100% of the Pty Ltd, and Chidi and Bisi own the Lagos Ltd equally. Chidi and Bisi are declared; the Lagos Ltd appears in the chain, not as the owner.
  • Example: Chidi's brother holds shares for him under a nominee arrangement. Chidi, the person who benefits, is the beneficial owner.

The deadlines

EventDeadline (CIPC)
New company incorporatedBeneficial ownership information within 10 business days
Any change in beneficial ownershipAmended declaration within 10 business days
Each yearDeclaration, with the securities register or beneficial interest register, alongside the annual return within 30 business days after the incorporation anniversary

CIPC says the requirement took effect with regulations on 24 May 2023 and that it has strictly enforced filing with annual returns since 1 July 2024. The legal basis is the General Laws (Anti-Money Laundering and Combating Terrorism Financing) Amendment Act 22 of 2022, which amended the Companies Act. See CIPC annual returns and penalties for how the two filings fit together.

What a Nigerian owner submits

Since 16 February 2024, CIPC has integrated its Foreigner Assurance process with beneficial ownership submissions. Foreign nationals submit their information online through CIPC e-Services with a certified copy of a passport or foreign ID, and declarations by foreign nationals are cross-checked against the Foreigner Assurance database. In practice that means:

  • Use the Nigerian passport as the master record. The name on the declaration should match the passport exactly.
  • Have the passport copy certified. In South Africa that is usually done by a commissioner of oaths; see a commissioner of oaths for Nigerian documents.
  • Keep the securities register up to date, because CIPC requires a securities register or beneficial interest register each year.
  • If a Nigerian company is in the chain, have its CAC status report and shareholder records ready to show how ownership flows.

How to file

  1. Log in to CIPC e-Services with the company's customer code.
  2. Open the beneficial ownership function, either as a stand-alone filing or within the annual return process; CIPC's guide allows both.
  3. Enter each beneficial owner and how their ownership or control arises.
  4. Upload the securities register or beneficial interest register and, for a foreign national, the certified passport.
  5. Submit. If something changes later, amend and resubmit within 10 business days.

Common mistakes by foreign owners

  • Declaring the holding company instead of the people behind it. CIPC's definition is about individuals.
  • Using a shortened or married name that does not match the passport, which can fail the Foreigner Assurance check.
  • Filing once at incorporation and forgetting the annual declaration that now goes with every annual return.
  • Transferring shares to a new partner and updating the share register, but not CIPC, within 10 business days.
  • Relying on an agent's login. If the agent disappears, the company loses access to its own filings; keep the customer code under the directors' control.

If you are forming the company now, it is simplest to collect the beneficial ownership details at the same time as the incorporation documents; see registering a Pty Ltd at CIPC as a foreign national.

What happens if you do not file

CIPC says non-compliant entities cannot finalise their annual return submissions, which can lead to deregistration. CIPC may also investigate, issue a compliance notice or refer the entity for deregistration. Giving false or misleading information is an offence under the amended Companies Act, and CIPC says enforcement can include referral to the National Prosecuting Authority. This is information, not legal advice; a company secretary or attorney can review a complex structure.

Where Pryme fits

Banks and partners now ask for the same ownership picture CIPC holds. A Pryme Business Account comes with a Compliance agent that prepares work such as ownership summaries and filing reminders; a person approves above a set ceiling and actions are recorded. Pryme's entities page explains who provides each part of the service. Outside Nigeria, Pryme's financial activities are carried out through regulated partners.

Questions people ask

Who must file beneficial ownership with CIPC?

All corporate entities registered with CIPC except co-operatives, including companies and close corporations, according to CIPC.

How long do I have to update CIPC after a share transfer?

Ten business days from the change in beneficial ownership information.

Can a foreigner file a CIPC beneficial ownership declaration?

Yes. Foreign nationals submit through e-Services with a certified passport or foreign ID, and CIPC checks it against its Foreigner Assurance database.

Is my Nigerian holding company the beneficial owner?

No. A beneficial owner is an individual. Declare the people who ultimately own or control the Nigerian company.
