Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

Australia

Setting up a Nigerian subsidiary of an Australian company

An Australian company trading in Nigeria must incorporate locally, then register with NIPC. Share capital rules, permits and the Tax ID explained.

The short answer

An Australian company that wants to do business in Nigeria must incorporate a Nigerian company with CAC (CAMA 2020, section 78), with at least ₦100,000 issued share capital for a private company, though CAC may ask for more for some business objects. After incorporation and before trading, the subsidiary registers with the Nigerian Investment Promotion Commission; NIPC lists a ₦150,000 fee and 48 working hours. A wholly foreign-owned company also needs a business permit from the Ministry of Interior, whose e-Citibiz page asks for authorised share capital of at least ₦10 million.

Nigerian founders in Australia often build their company in Australia first and then want an arm in Lagos or Abuja: to hire staff, sign contracts with Nigerian clients or hold a lease. The Nigerian rules for a company with a foreign shareholder are more involved than for a local start-up, and some figures you will see quoted online are wrong. Here is what the official and primary sources say.

Step 1: incorporate with CAC

CAMA 2020 section 78 requires a foreign company that intends to carry on business in Nigeria to incorporate a Nigerian entity. In practice that is a private company limited by shares, owned wholly or partly by the Australian company.

  • Minimum share capital: section 27(2)(a) sets the minimum issued share capital for a private company at ₦100,000.
  • Higher capital for some objects: CAC's FAQ says it may require higher issued share capital for some business objects.
  • Filing fee for capital: CAC's 2025 fee schedule charges ₦10,000 per ₦1 million of share capital, or part of a million, for small and private companies.
  • Directors: section 271 requires at least two directors unless the company is small. A small company under section 394 must have no alien member, so a subsidiary owned by an Australian company is unlikely to qualify; plan for two directors and the AGM cycle in section 237.

Example (illustrative): issued share capital of ₦10 million means 10 × ₦10,000 = ₦100,000 in CAC share capital fees, before name reservation, stamp duty and professional fees.

Step 2: register with NIPC

Section 20 of the NIPC Act requires every enterprise with foreign participation to register with the Nigerian Investment Promotion Commission. NIPC's FAQ says this happens after incorporation and before the company starts business. From NIPC's business registration page (schedule revised 2026):

  • Apply online through NIPC's single window portal.
  • Documents: CAC certificate of incorporation, status report (or the older CAC forms), memorandum and articles of association, and a power of attorney where an agent applies.
  • Fee: ₦150,000, non-refundable.
  • Processing: 48 working hours.
  • Renewal: annual.

Step 3: business permit and expatriate quota

The Ministry of Interior's e-Citibiz requirements page says a business permit is "for only Joint Venture and Wholly Foreign Owned Companies" and lists authorised share capital of at least ₦10 million. Its document list includes the certificate of incorporation, memorandum and articles, a feasibility report, CAC forms on shareholding and directors, any joint venture agreement, a current company tax clearance certificate, and a lease or certificate of occupancy for the operating premises. No fee is listed on that page.

Step 4: bring in the capital properly

NIPC's FAQ lists the Certificate of Capital Importation (CCI) and "evidence of share capital remittance/inflow" among required documents, and says investment law guarantees foreign investors can repatriate profits, dividends and capital after applicable taxes. The CCI is issued by the Nigerian bank that receives the foreign currency, so send share capital through a Nigerian authorised dealer bank and request it at the time. We cover this in the Certificate of Capital Importation from Australia.

Step 5: tax and ongoing filings

  • The subsidiary gets a Nigerian Tax ID generated from its CAC details (Premium Times explainer on the Tax Administration Act, 12 November 2025).
  • It files CAC annual returns every year; see CAC annual returns from Australia.
  • Charges between the Australian parent and the subsidiary raise transfer pricing questions in both countries; see transfer pricing for a Nigerian subsidiary.
  • Renew NIPC registration each year.

Where Pryme fits

The subsidiary can open a Pryme Business Account, which holds NGN, USD, GBP and EUR with local account details for each. Naira deposits are held by a licensed Nigerian microfinance bank, regulated by the CBN and insured by the NDIC up to the applicable limit, and the Finance agent prepares reconciliations and payments for approval. Share capital itself should still come through an authorised dealer bank so a CCI is issued. See entities.

Questions people ask

What is the minimum share capital for a foreign-owned company in Nigeria?

CAMA sets ₦100,000 for any private company. The Ministry of Interior's business permit page asks for at least ₦10 million authorised capital for wholly foreign-owned companies, and some sources cite ₦100 million paid-up; confirm before filing.

Does a Nigerian subsidiary need NIPC registration?

Yes. Every enterprise with foreign participation registers with NIPC after incorporation and before starting business. NIPC lists a ₦150,000 fee.

Can an Australian company own 100% of a Nigerian company?

Generally yes, outside restricted sectors; wholly foreign-owned companies need a business permit from the Ministry of Interior.

How many directors does a Nigerian subsidiary need?

At least two under section 271 unless it is a small company, and a company with a foreign member is unlikely to qualify as small.
