Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

United Kingdom

Appointing an agent or distributor in Nigeria

Agent or distributor in Nigeria? How UK exporters set exclusivity, targets, termination and payment terms, and which UK and Nigerian rules apply.

The short answer

A UK exporter entering Nigeria usually chooses between a commission agent, who finds buyers that contract with you, and a distributor, who buys from you and resells in its own name. Whichever you choose, the contract should define the territory and whether it is exclusive, tie exclusivity to minimum performance, set notice and termination rights, and say when and in what currency money is paid.

A good local partner is often the fastest way into Nigeria's market, and a badly written agreement is often the most expensive way out of it. Exporters tend to focus on the commercial pitch and leave the contract to a template. This guide sets out the decisions that matter, in the order you should make them, with the UK and Nigerian rules that shape them. It is information, not legal advice: have the final agreement reviewed by lawyers in both countries.

Agent or distributor: the core difference

Commission agentDistributor
Who the customer contracts withYouThe distributor
Who imports and clears goodsUsually your customerThe distributor
Who carries the credit risk on end customersYouThe distributor
How the partner earnsCommission on salesMargin between its buying and selling price
Your control over resale pricesHigh (you set prices)Limited (it sets its own)
Your exposure in NigeriaHigher; you are selling directly into the marketLower; you sell to one buyer

There is a Nigerian company law point here too. Mondaq's summary of section 78 of the Companies and Allied Matters Act (Gresyndale Legal, 8 April 2024) says a foreign company must incorporate a separate Nigerian entity before carrying on business in Nigeria, and without one cannot have a place of business there, with limited exemptions granted by the Minister. Using an independent distributor, or an agent whose role is clearly limited, is one way exporters avoid setting up in Nigeria at the start. Take advice on where the line falls for your model.

Exclusivity: what to grant and what to ask for

  • Define the territory precisely. All of Nigeria, named states, or named customer types (for example government buyers or hospitals). Lagos and Abuja are very different markets.
  • Choose the type. Exclusive means not even you sell there; sole means only you and the partner; non-exclusive means you may appoint others.
  • Tie exclusivity to performance. Set minimum purchase or sales targets per year, and give yourself the right to remove exclusivity (not just terminate) if they are missed.
  • Online and export sales. Say whether the partner may sell outside the territory, online or into neighbouring ECOWAS countries.
  • Brand. Register your trade mark in Nigeria in your own name before you appoint anyone. Mondaq's guide to Nigerian trade mark registration (21 November 2025) describes the steps at the Trademarks, Patents and Designs Registry, including a power of attorney to a local agent. See registering a trade mark in Nigeria.

Termination: plan the exit on day one

Most disputes with overseas partners start at the end of the relationship. Write in:

  1. A fixed initial term, then renewal, with a notice period for ending without cause.
  2. Immediate termination for specified breaches: missed payments, selling competing products, breaching anti-bribery terms, insolvency.
  3. What happens to stock: whether you buy it back, at what price, and who arranges freight.
  4. Hand-over of customer lists, product registrations and marketing materials. In Nigeria this matters because product registrations with bodies such as NAFDAC may be held in a local company's name; agree in writing who holds them and that they will be transferred.
  5. Governing law and the forum for disputes, such as arbitration seated in London or Lagos.

UK readers often ask about compensation for agents. The Commercial Agents (Council Directive) Regulations 1993 apply, by regulation 1(2), to the activities of commercial agents in Great Britain. The text does not expressly deal with agents working outside Great Britain, so whether a Nigeria-based agent can claim under them is a point to take advice on, and Nigerian law may give its own rights.

Payment terms

Distributor paying you
Agree the method for each order: cash in advance, documentary collection, letter of credit or credit terms with insurance. The distributor will need a Form M for each import.
You paying an agent
Say when commission is earned (on order, on shipment, or on your receipt of payment), the rate, the currency and the account it is paid to.
Currency
State whether prices and commission are in sterling, dollars or naira, and who bears conversion costs.

Commission paid only after you have been paid protects you from paying for sales that never complete. For payment methods, see documentary collections and getting paid by a Nigerian buyer.

Bribery: the clause you cannot skip

Under the UK Bribery Act 2010 a company can be liable for bribes paid by people acting for it. The Ministry of Justice's guidance (updated 22 January 2025) says facilitation payments to speed up routine functions are bribes with no exemption, though legally required fees, including official fast-track services, may be paid, and reasonable, proportionate hospitality is not prohibited. Put an anti-bribery clause in the agreement, require receipts for any official fees the partner pays on your behalf, and keep a record of the checks you did before appointing them.

Where Pryme fits

A Pryme Business Account holds NGN alongside GBP, USD and EUR, so you can pay an agent's commission in naira from naira you hold, or receive a distributor's payment in the currency invoiced. Bulk payouts handle several commission payments at once, prepared by the Finance agent and approved by a person.

Questions people ask

Should I use an agent or a distributor in Nigeria?

An agent finds customers who buy from you, so you carry the credit risk and the import process sits with each customer. A distributor buys from you and resells, so you have one buyer and less exposure. Many exporters start with a distributor.

Can a UK company sell in Nigeria without a Nigerian company?

Mondaq's summary of CAMA section 78 says a foreign company must incorporate a Nigerian entity before carrying on business in Nigeria, with limited exemptions. Selling to an independent distributor is a common way to start without one; take advice on your model.

Does a Nigerian agent get compensation when I end the agreement?

The UK Commercial Agents Regulations 1993 apply to agents' activities in Great Britain and do not expressly cover agents abroad. Nigerian law and your contract will matter. Get legal advice before terminating.

How do I stop a distributor holding my product registration hostage?

Agree in the contract who holds registrations such as NAFDAC approvals and require transfer on termination. Register your trade mark in Nigeria in your own name before appointing anyone.
