Questions

The things people ask us first.

What is Pryme?

Pryme is a financial technology company. It gives people and businesses in Nigeria one account that holds Naira alongside dollars, pounds and euros, and a set of agents that do the running of it — keeping the books, chasing what is owed, answering customers and paying bills. Nothing leaves an account without the owner’s approval.

Can I hold dollars, pounds and euros in a Pryme account?

Yes. A Pryme account holds Naira, US dollars, pounds sterling and euros side by side on one ledger, each with its own account details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area. You can swap between them at a rate you set, and every currency has its own statement.

What is Spaces?

Spaces is available in Nigeria. It gives a shopper money to spend that can only be spent with a participating business. The business is paid into its Naira account whether or not the shopper repays, because Pryme carries the credit. For the business it is free to join, there is nothing monthly, and the customer’s identity is never shown — only a reference and what it is worth.

What do the agents on a Pryme Business Account do?

Five agents come with the account. The Chief of Staff runs the week and keeps what is stuck moving. Finance watches the money and keeps the books as you trade. Compliance keeps the filings on time and screens what moves. Sales chases what you are owed. Customer Support answers your customers and follows up. Each has a job description, a budget and a ceiling you set, and each one proposes rather than acts — nothing leaves the account without your signature.

How does Pryme Pay work?

Pryme Pay takes payments on your own site or on a checkout page you control. The buyer is given a one-time account number and transfers to it from any bank app or by USSD — no card, no OTP, nothing to type in. The money lands in the same account your agents are running, already matched to the order and already in your books.

What are Savings Boxes?

Savings Boxes are separate pots inside a Pryme account, held in Naira. Flexible Boxes can be withdrawn at any time, Fixed Boxes hold to a date, Investment Boxes hold for longer, and Interest-free Boxes earn nothing by design. A business can use them to ring-fence payroll and the tax it withholds, so that money cannot be spent by accident.

Who holds my money, and is it protected?

Pryme is a financial technology company, not a bank. Accounts and deposits are provided by Solid Allianze Microfinance Bank Limited, which is licensed by the Central Bank of Nigeria and is a member of the Nigeria Deposit Insurance Corporation.

Can I build on Pryme?

Yes. Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

What is Pryme?

Pryme is a financial technology company. It gives you one account that holds US dollars, pounds sterling and euros beside Naira, with an assistant that runs the account for you and asks before anything moves. Accounts are provided in Nigeria today, and further markets open as each licence lands.

Can I open a Pryme account from outside Nigeria?

Accounts are provided in Nigeria today, subject to verification and approval. Foreign-currency balances are held and converted inside that account, so you can hold, receive and swap dollars, pounds and euros wherever you are.

Which currencies can I hold with Pryme?

Naira, US dollars, pounds sterling and euros, side by side on one ledger. Each has its own details — a Nigerian account number, a US account number, a UK sort code and an IBAN for the euro area — and each has its own statement.

How do I send money to Nigeria with Pryme?

Swap at a rate you set rather than the rate of the day, then send to any Pryme username or to a Nigerian bank account. There is no fee to send to another Pryme account.

What does the assistant do?

Eva is the assistant inside the Pryme app. She opens accounts, moves money, saves toward your goals, pays what is due and follows up what is owed to you — and asks you before anything moves.

What is Pryme Rails?

Pryme Rails lets a platform issue a dedicated Naira account number to each of its own customers, collect into it and reconcile against it, over one API — the same rails the Pryme Business Account runs on.

How to transfer shares and update shareholding at CAC

How a share transfer works in a Nigerian private company: the instrument of transfer, stamping, board approval, the CAC filing and updating PSC records.

The short answer

Shares in a Nigerian company move by a signed instrument of transfer (CAMA 2020, section 175), which is stamped and then lodged with the company; the company updates its register of members and files the change with CAC. Under the CAC fee schedule gazetted on 29 May 2025, the filing is a post-incorporation filing at ₦5,000 for a small company and ₦10,000 for other private companies. If control changes, CAC must also be told of the new person with significant control within one month (section 119).

Section 175 of the Companies and Allied Matters Act 2020 says a transfer of shares must be by instrument of transfer, which may be electronic, and that the company must not register a transfer unless a proper instrument has been delivered to it. The instrument is signed by or for both the transferor (seller) and transferee (buyer), and the seller remains the holder until the buyer's name is entered in the register of members (section 175(3)).

Transfers are free of restriction unless the articles say otherwise. A private company's articles may, under section 22(2), require a member to offer shares to existing members before selling to an outsider, and stop a member or group from selling more than 50% to a non-member unless that buyer offers to buy all members out on the same terms. Read your articles and any shareholders' agreement first.

Documents you will need

Practice guides and CAC's portal workflow commonly call for the following; the exact list can vary with the case, so follow what the portal asks:

  • The instrument of transfer (share transfer form), signed by both parties.
  • Evidence that stamp duty has been paid on the instrument (a stamped instrument).
  • A board resolution approving the transfer, and any members' resolution the articles require.
  • The updated register of members.
  • Identification for the new shareholder.
  • Where pre-emption rights apply, evidence that existing members waived or declined them.

Step by step

  1. Check the articles and shareholders' agreement for consent, pre-emption and valuation rules.
  2. Agree price and terms; record them in a share purchase agreement if the deal is material.
  3. Complete and sign the instrument of transfer.
  4. Present the instrument for stamping and pay the duty assessed.
  5. Lodge the stamped instrument and old share certificate with the company. If the company refuses to register the transfer, it must send notice of refusal to the buyer within two months of lodging (section 177).
  6. Board approves; the company secretary or a director updates the register of members and issues a new share certificate.
  7. File the change of shareholding with CAC on the portal and pay the filing fee.
  8. If anyone gains or loses significant control, update PSC records: the person tells the company within seven days, and the company notifies CAC within one month (section 119).

What it costs at CAC

Worked example

Example only: Ngozi sells 300,000 of her 600,000 shares in a small private company to a new investor, Bello, for ₦3,000,000. Before signing, Bello pays ₦10,000 for a historical shareholding search to confirm Ngozi actually holds the shares. After stamping, the company files the transfer with CAC as a post-incorporation filing at ₦5,000 and then gets a status report at ₦5,000 to confirm the new position. CAC costs: ₦10,000 + ₦5,000 + ₦5,000 = ₦20,000, plus stamp duty and any legal fees. If Bello now holds a stake that makes him a person with significant control, the PSC notice follows within one month.

Check the small-company position too. If the buyer is a foreigner, or if the transfer leaves directors holding less than 51% of equity, the company may stop being a small company under section 394, with new audit and secretary duties. See small company exemptions.

Common problems

  • The register of members was never kept, so the seller cannot show title. Fix the records first, with a historical search to see what CAC holds.
  • The CAC record and the company's own register disagree. CAC will work from what was filed; reconcile before filing a new transfer.
  • The buyer paid but the transfer was never filed. Until the register is updated the seller is still the holder (section 175(3)), which leaves the buyer exposed.

Transfers on death

Where a member dies, shares pass by transmission rather than sale. Sections 178 and 179 deal with transfers by personal representatives and transmission; the representative will need the grant of probate or letters of administration before the company can act on it.

Where Pryme fits

For the payment itself, a Pryme Business Account can receive NGN, USD, GBP or EUR, and buyer and seller can each keep a verifiable receipt generated through VerifyDoc.ai (verifiable receipts). If an investor pays in dollars, Swap shows the rate and fee before you approve. Before any deal, verify the company.

Questions people ask
